Freshfields advises on Anheuser-Busch InBev’s sale of former SABMiller’s Central and Eastern European business to Asahi

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Anheuser-Busch InBev (‘AB InBev’) on its agreement with Asahi Group Holdings, Ltd. to sell the businesses formerly owned by SABMiller Limited (formerly SABMiller plc, ‘SABMiller’)  in Poland, the Czech Republic, Slovakia, Hungary and Romania for an agreed enterprise value of €7.3bn, subject to customary adjustments.

In connection with its business combination with SABMiller, AB InBev had made commitments to the European Commission (the ‘EC’) for the disposal of certain assets. This disposal process has been carried out under the supervision of the EC through its monitoring trustee. Closing is expected to take place in the first half of 2017.

Freshfields has also advised AB InBev on its combination with SABMiller and across the related disposal commitments made to competition authorities. With Freshfields’ global market-leading expertise, the firm was again able to showcase the strength of its ‘one firm’ approach across multiple jurisdictions and disciplines to help successfully deliver this complex and high-profile transaction.
