RPC has acted for new client Triumph Group, Inc. on the acquisition of GE's hydraulic actuation business. The transaction was a cross-border deal, with the target business operating in the US, the UK and the Isle of Man. RPC worked closely with Triumph's US counsel, Ballard Spahr, on the transaction, which is expected to close within the next two months. It will be included in Triumph's Aerospace Systems Group.
The team was led by Corporate Partner Anthony Shatz and Associate Paul Jenkins and included a number of members from across the firm's Commercial Group, including Partners Patrick Brodie (Employment), Charles Suchett-Kaye (Employee Benefits/Pensions), and Michael Scott (Commercial), as well as a team of Associates spanning Real Estate, Pensions, Tax and Competition.
Commenting on the deal, Anthony said: "This deal had many moving parts to it, particularly as it spanned three jurisdictions, all with different laws and regulations. We were pleased to step in as UK counsel to Triumph and to help get the deal through smoothly."
Triumph, which is based in Berwyn, Pennsylvania, was advised by Ballard Spahr in the US and Appleby in the Isle of Man.
