Wolf Theiss Represents J-Trading In Its ¥4 Billion- Acquisition Of Croatian Tuna Farmer Kali Tuna

13 Jul 2015

J-Trading Inc., a Japanese trading company, acquired a 100 % share in Kali Tuna, one of Croatia's most renowned tuna farming companies.International law firm WOLF THEISS advises on buy-side.

Kali Tuna is the biggest cultivator of bluefin tuna in the Adriatic Sea. Now fishery trading house J-Trading Inc. and investment firm Integral corp. have bought it for ¥4 billion. The Tokyo-based trading house intends to procure the fish for sushi and to sell in Europe and the United States. There are restrictions on bluefin catches in the Pacific because their numbers are being threatened by overfishing. But in the eastern Atlantic Ocean and the Mediterranean Sea, their numbers are recovering. This prompted the relaxation of catch restrictions earlier in the year – and the interest of J-Trading in Kali Tuna.

The Zagreb office of international law firm WOLF THEISS supported on buy-side regarding due diligence and structuring of the share purchase, including complex structures against timing considerations associated with tuna harvest periods as well as general corporate and employment advice. The team was led by partner Luka Tadic-colic, senior associates SaSa Joviccand Silvije Cvjetko, consultant Dora Gaz-Kovacvicand associate Katarina Kezic.
