Dentons’ Energy and Natural Resources team in Warsaw advised Grupa Energetyki Odnawialnej Renewables (GEO Renewables) on the sale of shares in the Lubartow wind farm in Poland to IKEA. They also advised GEO Renewables on an exchange of shares in the Ilza, Jedrzychowice and Zgorzelec wind farms in Poland with EDP Renewables. Both transactions were completed in March 2016.
Dentons' Warsaw Energy and Natural Resources team advised GEO Renewables on the sale of shares in a SPV operating the Lubartow wind farm in Poland project to IKEA. They negotiated an amendment to the conditional share purchase agreement, and prepared the documentation related to the share transfer and financial closing (including the repayment of the credit facility and shareholders loans). The team previously supported GEO Renewables during the negotiation of the conditional share purchase agreement in December 2014.
The team also advised GEO Renewables on a share swap transaction with EDP Renewables regarding an exchange of shares in Ilza, Jedrzychowice and Zgorzelec wind farm projects in Poland. Dentons negotiated the share swap agreement and subsequent annexes and negotiated the completion documentation, including the sale of shares in Polish and Cypriot companies.
Arkadiusz Krasnodebski, Poland Managing Partner and Head of the Energy practice in Poland and Europe, supervised Dentons’ team on both projects. Counsel Agnieszka Kulinska from the Energy group in Warsaw led the work with support from Associate Jan Dubinski.
