Clifford Chance advises Frasers on the acquisition of Alpha Industrial's EUR 600 million logistics portfolio

22 Feb 2018

Clifford Chance has advised the real estate investor Frasers Property Europe (FPE) on the acquisition of a EUR 600 million logistics portfolio from Alpha Industrial Holding S. A. In addition, FPE takes over the subsidiary Alpha Industrial GmbH & Co KG, which is responsible for asset management and project development. The transaction is FPE's second major logistics deal in Germany within three months. Frasers recently acquired an Hermes logistics real estate package from ECE. Clifford Chance also advised FPE on this acquisition.

The Alpha portfolio comprises a total of 22 properties in Germany and Austria, including 16 existing properties with a gross rentable area of 393,800 square metres and six project developments with a gross rentable area of 162,500 square metres acquired as part of forward deal. Frasers also takes over Alpha Industrial employees. This is how Alpha's Managing Director Jörg Schröder becomes Chief Investment Officer of FPE. Alpha Industrial Holding is therefore parting with its former core business area of logistics real estate and will continue to operate as a multi-family office in the future.

FPE is part of the Singapore-based real estate group Frasers Property Limited, an internationally operating, broadly diversified real estate investment company with fixed assets of around EUR 17.2 billion. In 2017 Frasers took over Dutch Geneba Properties N. V. At the same time, FPE was founded, which will take over all of Geneba's real estate business following the delisting on the Dutch NPEX.

The Clifford Chance team comprised partner Cornelia Thaler, senior associates Agnieszka Pikul (Munich), Manuel Lomb, Dr. Philipp Stoecker and transaction lawyer Elmostafa Habib (all Real Estate, Frankfurt), partner Dr. Kerstin Kopp and associate Maria-Franziska Röntsch (both Corporate, Frankfurt), partner Olaf Mertgen (Frankfurt) and counsel Cord Freiherr von Mandelsloh (Düsseldorf, both Tax), counsel Dr. Dimitri Slobodenjuk and senior associate Miriam Kammer (both Antitrust, Düsseldorf) as well as senior associate Sascha Nolte and associate Thomas Hoff (both Corporate, Luxembourg).
