Ares Senior Debt Financing for Phoenix Equity Partners Acquisition in Forest Holidays Group

Dechert LLP advised Ares Management Limited (“Ares”) and The Royal Bank of Scotland (“RBS”) on their provision of a senior debt financing package to support Phoenix Equity Partners acquisition of a majority stake in the Forest Holidays Group. 

Phoenix Equity Partners will be investing in the Forest Holidays Group alongside LDC, the private equity arm of the Lloyds Banking Group, the Forestry Commission and Management (who were all previous investors in the Forest Holidays Group).

Linklaters advised J.P Morgan, acting as the presenting bank alongside BNP Paribas, in relation to a potential takeover bid, followed by a squeeze-out targeting shares in the SFR group initiated by Altice.

The Linklaters team was managed by Marc Petitier, a partner in the Corporate division. Cyril Abtan, partner, dealt with the aspects of the counter-guarantee for the presenting banks. They were assisted by Maxime Le Bivic, associate. Luis Roth, a partner in Capital Markets dealt, with all the American law aspects of the deal. He was assisted by Sonny Ha, associate.

Hogan Lovells advised the arrangers and joint lead managers BNP Paribas, London Branch and UniCredit Bank AG, London Branch, on the securitisation of a portfolio of consumer loans receivables worth PLN 2.3 billion, originated by Bank BGZ BNP Paribas S.A., , being a member of leading international banking group BNP Paribas.

This follows the work of Hogan Lovells (which specialises in, among other things, legal and tax advisory services in the field of securitisation) on a number of previous transactions of this type in the Polish market.

Simpson Thacher Represents Underwriters in $700 Million Senior Notes Registered Offering by ORIX

Simpson Thacher’s Tokyo office recently represented the underwriters, led by J.P. Morgan, Goldman Sachs, Merrill Lynch and Mizuho, in connection with the offering by ORIX Corporation of $700 million of 3.25% Senior Notes due 2024. The offering was made pursuant to ORIX Corporation’s shelf registration statement on Form F-3 under the Securities Act.

ORIX is one of the leading financial services firms in Japan and is a provider of commercial and consumer finance products and services to Japanese and overseas customers.

Ashurst is advising Lazard & Co., Limited in relation to the €260 million recommended cash offer for Taliesin Property Fund Limited by Wren Bidco Limited and Canary Bidco Limited (newly formed companies owned by entities advised by affiliates of The Blackstone Group L.P. as part of Blackstone's newly formed pan-European Core+ unit). 

Dentons advises UniCredit and MUFG on EUR 750 million revolving credit facility for MOL

Dentons has advised UniCredit Bank AG, London branch and MUFG as coordinators on a EUR 750 million revolving credit facility provided by a group of 13 banks to MOL Plc, the Hungarian multinational oil and gas company. Société Générale acted as the facility agent.

The new facility has been arranged as a club deal with a group of MOL's relationship banks. It has a tenor of five years (with two one year extension options) and can be drawn in both Euros and US Dollars.

WFW advises Credito Valtellinese on wind plant financing

Watson Farley & Williams (“WFW“) has advised Credito Valtellinese S.p.A. (“Credito Valtellinese”), on €2.3m financing of a 3.3 MW wind plant located in the Basilicata region in southern Italy. A key aim of the financing is a renovation of the plant to improve its energy efficiency.

The plant is owned by an SPV of Fri-El Group, one of Italy’s leading green energy companies and active in the wind sector since 2002.

White & Case Advises Credit Bank of Moscow on SPO

Global law firm White & Case LLP has advised Credit Bank of Moscow, as Issuer, on the RUB14.4 billion (approximately US$248 million) public offering of additionally issued ordinary shares on Moscow Exchange.
