Morgan Securities, Morgan Stanley & Co., Barclays Capital, Credit Suisse Securities and Desjardins Securities, as co-managers, in connection with Bank of Montreal’s registered public offering of $1.25 billion aggregate principal amount of its 3.803% subordinated notes due 2032 (Non-Viability Contingent Capital (NVCC)).

Gide advised a bank syndicate led by NatWest Markets on Klépierre's tender offer with respect to four series of notes due 2019, 2021 and 2022 respectively for a total amount of approximately EUR97 million.

Simultaneously, Gide assisted a bank syndicate led by BNP Paribas on the issuance by Klépierre of EUR500 million 1.625 per cent. notes due 2032 and admitted to trading on the regulated market of Euronext Paris.

Norton Rose Fulbright advises on HK$795 million share sale in Roadshow Holdings by Hong Kong’s largest public transport operator

Global law firm Norton Rose Fulbright is advising Hongkong and Shanghai Banking Corporation Limited (HSBC) as financial advisor in the HK$795 million (US$102 million) sale of 73% interests in Roadshow Holdings Limited, which is principally engaged in media sales and advertising on transit vehicles, online portal, mobile applications and outdoor signage.

The seller of Roadshow Holdings is Hong Kong-listed Transport International Holdings Limited, the largest public transport operating in Hong Kong controlled by Sun Hung Kai Properties Limited.

Shandong International Trust Completes HK$2.95 Billion (US$378.3 Million) Hong Kong IPO and Regulation S Offering

The Firm represented Shandong International Trust Co., Ltd. (“Shandong International Trust”) in connection with its initial public offering in Hong Kong and Regulation S offering of 647,075,000 H shares (prior to the exercise of the overallotment option), which raised approximately HK$2.95 billion (US$378.3 million) in gross proceeds. The H shares of Shandong International Trust are listed on the Hong Kong Stock Exchange. CCB International, BOCOM International and Haitong acted as joint sponsors.

TLT advises on sale of Lakeview Computers

TLT has advised Barclays Bank plc and the management team of ERP software solutions provider Lakeview on its sale to Kerridge Commercial Systems (KCS).

Lakeview focuses on the food and beverage, manufacturing, wholesale and distribution verticals, and is based in Dartford, Kent. KCS is backed by US private equity investor Accel-KKR and is an international provider of software solutions to the retail, wholesale, merchant and distribution markets.
