Blackstone Refinances Pan-European Urban Logistics Portfolio

Simpson Thacher represented Blackstone in its circa EUR 300 million refinancing of its acquisition of a portfolio of pan-European logistics assets.

The portfolio consists of 93 assets across Belgium, France, Germany and the Netherlands, and was acquired by Blackstone in June 2018 from Marathon Capital. The financing consisted of a senior loan (with Deutsche Bank and Societe Generale) and a mezzanine loan (with Partners Group).

The Simpson Thacher team acting on the refinancing included Tom Lloyd, Luke Murphy and Pamela Rosindale (Real Estate).

White & Case Advises Blackrock, Inc. on Its Acquisition of Citibanamex's Asset Management Division

Global law firm White & Case LLP has advised BlackRock, Inc., the world's largest asset manager, on its acquisition of the asset management business of Citibanamex, a Mexican subsidiary of Citigroup.

As part of the acquisition, Citibanamex has sold BlackRock its asset management business, which includes local fixed income and equity assets and multi-asset products. Additionally, BlackRock will now offer asset management products to Citibanamex clients in Mexico under a new agreement.

MinterEllison advises Commercial & General on establishment of A$130.5m Logistics Property Joint Venture

MinterEllison has acted for Commercial & General, who has partnered with Straits Real Estate Pte. Ltd (a wholly owned subsidiary of SGX-listed The Straits Trading Company Limited, SGX:S20) to launch an unlisted logistics real estate platform.

The seed assets of the platform, collectively worth approximately A$130.5 million, are to be managed by a newly created investment manager, ILP Managers Pty Ltd, a 50-50 joint venture between Commercial & General and Straits Real Estate.

The Paris office of Simmons & Simmons has assisted BlackRock, a leading asset manager, in the development of their activities in France.

A multi-disciplinary team in the firm’s Paris office advised the asset manager throughout the authorisation process as an AIFM, as well as on issues related to the future activities of the new management entity.

Stephenson Harwood advises Semperian on PFI hospital acquisition

Law firm Stephenson Harwood LLP has advised Semperian PPP Investment Partners Group Limited on its acquisition of a 50% stake in the Fife Hospital private finance initiative (PFI) project for £43 million.

Semperian, which acquired the 50% stake from international infrastructure group Balfour Beatty, is a UK-based infrastructure investor, with a diverse portfolio of public private partnership (PPP) investments within the social infrastructure sector.

Chancerygate, one of the UK’s leading industrial property development and asset management companies, has formed the 50-50 partnership to target prime sites across the UK for high-quality urban logistics developments, in order to meet the growing demand for last-mile logistics and owner-occupied units. The partnership has already secured three sites, with an initial £100m earmarked for investment.

Trowers advise Peabody on third bond issue

Top 40 law firm Trowers & Hamlins advised Peabody Group on its recent £450 million bond, the Group's third bond issue in debt capital markets, attracting strong interest from investors.

£100m of the bonds have been retained for future sale with security for the total amount being provided upfront. This strategy provides added flexibility on sale timing in the future.

Gide has advised Nexity on the implementation of a five-year EUR 2.3 billion syndicated corporate credit facility, expiring in July 2023. This facility comprises a EUR 500 million cash credit line and EUR 1.8 billion in guarantee commitments (engagements par signature, notably including performance bonds and bank guarantees).
