IBM's x86 Server Business Acquired by Lenovo for $2.3 Billion

IBM and Lenovo announced a definitive agreement in which Lenovo plans to acquire IBM’s x86 server business for a purchase price of approximately US$2.3 billion, approximately two billion of which will be paid in cash and the balance in Lenovo stock. Cravath represented IBM in connection with this transaction. The x86 server business includes System x, BladeCenter and Flex System blade servers and switches, x86-based Flex integrated systems, NeXtScale and iDataPlex servers and associated software, blade networking and maintenance operations.

White & Case Advises Nestlé Waters on Sale of Water Brand Plancoet

White & Case LLP has advised Nestlé Waters on the sale of the French water brand Plancoet to the Société des Eaux Minérales d'Ogeu (SEMO).

White & Case also advised Nestlé Waters on its sales during July 2013 of Société Anonyme des Eaux Minérales de Ribeauvillé to Spadel and Source du Val Saint Lambert to SEMO.

The White & Case team in Paris on the recent transaction was led by partners Hugues Mathez and Nathalie Nègre-Eveillard with support from associate Sophie Nguyen.

Norton Rose Fulbright has advised Commerz Real on the £125 million sale of One Snow Hill, a prime office building in Birmingham, to a fund managed by Union Investment, the German asset manager.

Norton Rose Fulbright’s real estate team advised Commerz Real, part of the Commerzbank Group and a long term client of the practice, on all aspects of the sale.

WilmerHale Represents Thermo Fisher Scientific in Transaction with GE Healthcare

WilmerHale represented Thermo Fisher Scientific in a transaction with GE Healthcare. Thermo Fisher has agreed to sell its cell culture (sera and media), gene modulation and magnetic beads businesses to GE Healthcare for approximately $1.06 billion. The businesses will become part of GE Healthcare's Life Sciences division.

WFW advises PNE WIND AG on the sale of the Calau IIA wind farm and the financing of nine onshore wind farm projects

Watson, Farley & Williams has advised PNE WIND AG (“PNE”) on the sale of the Calau IIA wind farm in Brandenburg, Germany, as well as on the financing of nine onshore wind farm projects in Lower Saxony and Brandenburg with a total financing volume of €192.8 million.

PNE sold the Calau IIA wind farm to the Hamburg-based holding company CEE. WFW advised PNE on contract negotiations, which were successfully completed by the end of 2013.

Dentons advises K/S VindInvest Cottbuser See on the sale of a German wind park to funds managed by Allianz Capital Partners

Dentons has successfully advised K/S VindInvest Cottbuser See, a Danish company, in connection with the sale of the interest in a German wind park company to funds managed by Allianz Capital Partners. The wind park is situated near Cottbus and comprises twelve turbines (Vestas V90) with a total rated power of 24 MW, commissioned in 2005/6. The parties agreed to keep the purchase price confidential.
