CIF Group completes First STS Securitization in Europe

Jones Day advised Credit Immobilier de France (CIF) Group on the French home loans securitization made through "Private Harmony French Home Loans FCT". Crédit Agricole Corporate and Investment Bank and BNP Paribas are co-arrangers. The securitized assets are receivables arising from a portfolio of French home loans of more than €1 billion (US$1.1 billion). The notes issued by the French securitization fund Private Harmony French Home Loans FCT were privately placed.

Simpson Thacher Represents Underwriters in $950 Million Debt Offering by RELX

Simpson Thacher represented J.P. Morgan Securities LLC, Santander Investment Securities Inc., SG Americas Securities, LLC, TD Securities (USA) LLC and Wells Fargo Securities, LLC in the registered public offering by RELX Capital Inc. of $950 million aggregate principal amount of 4% notes due 2029 guaranteed by RELX PLC (together with its subsidiaries, associates and joint ventures, “RELX”).

Latham & Watkins represented ReNew Power Ventures Private Limited (ReNew Power), as parent company, in the high yield co-issuance of US$375 million of 6.67% Senior Secured Notes due 2024 by eight subsidiaries. The Notes of each co-issuer are also guaranteed by each of the other co-issuers. The Notes are listed on the SGX-ST and include a mix of both high yield and project bond-style covenants, a first in the Indian market.

Clifford Chance advised the issuer Vseobecna uverova banka, a.s. (VUB), a Slovak subsidiary of Intesa Sanpaolo, in connection with the update of its EUR 5 billion covered bond programme and its inaugural syndicated EUR 500 million issuance listed on the Luxembourg Stock Exchange.

White & Case Advises Banco BPM on €750 Million Bond Issuance

Global law firm White & Case LLP has advised Banco BPM S.p.A. on its €750 million 2% Senior Preferred Unsecured Notes due 2022.

The notes have been issued under Banco BPM's €25 billion Euro Medium Term Note Programme, listed on the Luxembourg Stock Exchange and offered and sold pursuant to Regulation S under the Securities Act.

Banca Akros S.p.A. – Gruppo Banco BPM, Banca IMI S.p.A., Barclays Bank PLC, Credit Agricole Corporate and Investment Bank, Credit Suisse Securities (Europe) Limited and Societe Generale acted as joint bookrunners.

Shearman & Sterling represented the underwriters, led by NatWest Markets Securities Inc., in connection with The Royal Bank of Scotland Group offering of $2 billion 4.269% fixed-rate/floating-rate senior notes due 2025. The joint bookrunners included BofA Merrill Lynch, Credit Suisse, Goldman Sachs and Morgan Stanley.

The Royal Bank of Scotland, headquartered in Edinburgh, has a diversified customer base and provides a wide range of products and services to personal, commercial and large corporate and institutional customers.

Mayer Brown represents joint lead managers in Sri Lanka's US$2.4 billion sovereign bond offering

Mayer Brown represented the joint lead managers in the issuance of a dual tranche bond offering totaling US$2.40 billion by the Democratic Socialist Republic of Sri Lanka.

The dual-tranche issuance, which comprised US$1.0 billion 6.85 percent bonds due in 2024 and US$1.4 billion 7.85 percent bonds due in 2029, was priced on March 7 and closed on March 14..

The offering generated robust demand from international investors, marking another successful return of the government of Sri Lanka to the US dollar bond market.
