McDermott Advises Istituto per il Credito Sportivo on €150 million Financing with Council of Europe Development Bank

ROME – International law firm McDermott Will & Emery has represented Istituto per il Credito Sportivo (ICS) in connection with  €150 million framework loan agreement with the Council of Europe Development Bank (CEB) to support the financing of sports facilities in Italy.

The signing ceremony was hosted in Rome’s Palazzo Chigi, the official residence of Italy’s Prime Minister, in the presence of the Secretary of State On. Giancarlo Giorgetti.

Gide on the EUR 39.2 million Euro PP financing by Financière Apsys

Gide advised the Dealers, Banque Degroof Petercam and Invest Securities, on the Euro PP by Financière Apsys of its EUR 39.2 million due November 2023 combining a EUR 29.2 million bond issue and a EUR 10 million loan. The notes are admitted to trading on Euronext Access Paris.

Gide's team was led by partner Hubert du Vignaux, assisted by senior associate Bastien Raisse and associate Laure Bellenger.

Gide acted as underwriters' counsel in a multi-tranche senior bond issuance of $3.75bn by EDF

Gide acted as underwriters' counsel in a multi-tranche senior bond issuance of USD 3.75 billion by EDF in the context of its return to the USD 144A/RegS bond market.

Gide has advised an underwriting syndicate of eight banks in connection with a senior bond offering of USD 3.75 billion by EDF, by way of a Rule 144A private placement in September. This issuance enables EDF to further strengthen the structure of its balance sheet, as well as refinance upcoming maturities.

Dechert LLP acted as legal counsel for Amun AG, a special purpose issuance vehicle of the fintech group Amun Technologies Limited, in a recent issuance of Exchange Traded Products. The issuance, which completed on November 21, was the first cryptocurrency-linked ETP transaction facilitated by the SIX Swiss Exchange program. It will be listed on SIX on 22 November.

Clifford Chance advises on landmark US$4 billion bond issuance by PT Indonesia Asahan Aluminium Persero (Inalum)

Leading international law firm Clifford Chance has advised BNP Paribas, Citigroup and MUFG as joint global coordinators and BNP Paribas, CIMB, Citigroup, Maybank, MUFG, SMBC Nikko and Standard Chartered Bank as joint bookrunners and joint lead managers on the US$4 billion bond issuance by Indonesian state-owned mining company PT Indonesia Asahan Aluminium Persero (Inalum).

The deal is the largest-ever US dollar corporate security from a non-financial issuer in Indonesia and among the largest in Asia this year.

Republic of Kazakhstan's Issuances under Global Medium Term Note Programme

King & Wood Mallesons advised the Government of the Republic of Kazakhstan in the update of its Global Medium Term Note Programme and on the first two issuances thereunder.

Following the Programme update at the end of October, on 9th November, Kazakhstan issued EUR 525 million 1.55% Notes due 2023 and EUR 525 million 2.375% Notes due 2028 in a combined Rule 144A/Regulation S Offering.

Dentons advises Islamic Development Bank on First Public Euro-Denominated Trade

Dubai—Dentons advised Islamic Development Bank (IsDB) on the issuance of EUR650 million Trust Certificates due 2023 under its US$25 million Trust Certificate Issuance Programme, which was previously updated by IsDB and IDB Trust Services Limited on 7 June 2018. The Firm has regularly advised IsDB on the issuance of debt securities denominated in US dollars in the past, and this transaction represents IsDB's first public Euro-denominated trade under their Sukuk programme. The transaction was successfully completed on 7 November 2018.

Slaughter and May advised NewDay Cards on its second US dollar 144A debt issue under its own-brand credit card master trust securitisation

Slaughter and May advised NewDay Cards Ltd (NewDay Cards) and its affiliates in relation to a public debt issue under its own-brand credit card securitisation.

The transaction involved the issuance, through a master trust structure, of $150 million and £176.1 million of Series 2018-2 Floating Rate Asset Backed Notes (the Series 2018-2 Notes) by NewDay Funding 2018-2 Plc (the Issuer). The issuance was the second dollar issuance by NewDay Cards, following its first issuance under Rule 144A under the US Securities Act in July 2018, on which the firm also advised.
