Gernandt & Danielsson advises in Vostok New Ventures Ltd’s bond issue

Vostok New Ventures Ltd has issued corporate bonds amounting to SEK 300 million. The company has undertaken to list the bonds on Nasdaq Stockholm.

Vostok New Ventures Ltd is an investment company with a focus on companies with network effects and has its Swedish Depository Receipts listed on Nasdaq Stockholm.

Gernandt & Danielsson has advised the company and its financial advisor Pareto Securities AB with a team consisting of Partner Mikael Borg, Senior Associate Adrian Della Morte Pålstam and Associate Katarina Odelberg.

Finnlines : Loan from EIB with guarantees from Nordea and Finnvera to finance part of the MEUR 100 Environmental Technology Investment Programme

Castrén & Snellman acted as legal advisor to Finnlines in an arrangement in which Finnlines has signed a EUR 50 million loan agreement with The European Investment Bank (“EIB”). Nordea Bank Finland Plc (“Nordea”) will, in favour of EIB, guarantee the loan facility and the subsequent counter guarantee covering 80 per cent is issued by Finnish Export Credit Agency Finnvera Plc (“Finnvera”) in favour of Nordea. The loan will be used for Finnlines’ EUR 100 million Environmental Technology Investment Programme.

Debevoise Advises Reynolds Group in the Issuance of $2.1 Billion Senior Secured Fixed and Floating Rate Notes and $800 Million Senior Notes

The New York and London offices of Debevoise & Plimpton LLP have advised Reynolds Group Holdings Limited (“Reynolds Group”) in the placement of $1.35 billion of 5.125% senior secured notes due 2023, $750 million of senior secured floating rate notes due 2021, and $800 million of 7.000% senior notes due 2024.

Cembra's CHF 200'000'000 Swiss Auto Lease ABS transaction 2016-1 listed on the SIX Swiss Exchange

On 23 June 2016, Cembra Money Bank AG (Cembra) closed its fourth auto lease securitization transaction involving the issue by Swiss Auto Lease 2016-1 GmbH (the Issuer) of CHF 200,000,000 0.22 per cent. Asset-Backed Class A Notes due 2026 and CHF 22,600,000 0.40 per cent. Asset-Backed Class B Notes due 2026 to the Swiss capital market. The Notes issued are listed on the SIX Swiss Exchange and are backed by a portfolio of auto lease assets originated by Cembra and transferred to the Issuer.
 

Firm Advises MTN Côte d’Ivoire on Raising Debt Equivalent to USD 240m

International law firm Simmons & Simmons has advised MTN Côte d’Ivoire on raising XOF140bn (the equivalent of USD240m) term funding.

MTN Côte d’Ivoire is a subsidiary of South Africa’s MTN Group, a longstanding client of the firm. The seven year loan has been syndicated to ten banks having been co-arranged by Standard Chartered Bank Côte d’Ivoire and EDC Investment Corporation as mandated lead arrangers and bookrunners.

Deutscher Studenten Wohn Bond Heuking Kühn Lüer Wojtek issues second bond of EUR 63.5 million

A team led by Dr. Peter Zimmermann and Dr. Thorsten Kuthe, both partners of business law firm Heuking Kühn Lüer Wojtek, legally advised Deutsche Real Estate Funds (DREF) on issuing a bond of EUR 63.5 million. DREF intends to use the proceeds to acquire and renovate five student dormitories. The buildings with 1,100 units are located in Berlin, Halle, Ludwigsburg, Siegen, and Stuttgart.
 

Ashurst advises Credit Suisse on portfolio refinancing

Ashurst advised Credit Suisse on the refinancing of an existing margin loan portfolio previously provided by UBS AG Australia Branch (UBS Australia), as part of the management buyout by Crestone Holdings of UBS's wealth management business in Australia.

UBS Australia had spun off its wealth management business to Crestone Holdings through a management buyout.  As part of the acquisition, the existing portfolio of margin loans were refinanced by Credit Suisse who will provide ongoing margin lending facilities to Crestone's wealth management customers.

Gernandt & Danielsson advises in Tobin Properties issue of corporate bonds amounting to SEK 225,000,000.

The net proceeds will be used in investments in new projects and for redemption of preference shares of series A corresponding to a total redemption amount of SEK 110,000,000. The bonds are issued within the framework amount of SEK 500,000,000. The company’s intention is to list the bonds on Nasdaq First North Bond Market within 30 days from the issue date.

Verallia's High-Yield Senior Secured Debt Offering

Cravath represented the initial purchasers, led by Credit Suisse and Deutsche Bank, in connection with the €200 million 144A/Reg. S high-yield senior secured debt offering of Verallia Packaging S.A.S., a top manufacturer of glass packaging for food and beverages. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on June 22, 2016.

The Cravath team included partner Philip J. Boeckman and associates Melissa Erdogdu, Guayente Gallego and Said Bakir on corporate matters and partner Christopher K. Fargo on tax matters.
