Linklaters advises on the issuance of US dollar fixed rate bonds and Euro floating rate bonds by Guotai Junan Securities

Linklaters acted as international counsel to the underwriters, on the successful offering of US$500 million bonds (“US Dollar Bonds”) by an overseas subsidiary of, and guaranteed by, Guotai Junan Securities Co., Ltd and (“Guotai Junan Securities”) and a separate direct offering of €255 million bonds (“Euro Bonds”), by Guotai Junan Securities. The US Dollar Bonds and the Euro Bonds were issued a day apart, and both transactions are listed on the Hong Kong Stock Exchange.

DLA Piper advises Stack Infrastructure, Inc. in its inaugural securitization, an US$850 million issuance of asset-backed secured notes

DLA Piper represented Stack Infrastructure, Inc. (Stack), a wholesale data center company, in its inaugural securitization, an US$850 million issuance of asset-backed secured notes. The notes are secured by pledged mortgages, deeds of trust and/or deeds to secure debt and the rights under certain tenant leases.

Stack aims to address the technology infrastructure needs of rapidly scaling enterprises and hyperscale companies. The existing Stack platform totals over 100 megawatts of capacity and approximately 1.5 million square feet in aggregate.

DLA Piper advises Jyske Realkredit on issue of covered bond

DLA Piper has advised Jyske Realkredit on the issue of Covered Bonds (SDOs) for EUR 500,000,000.

The bonds are issued under Jyske Realkredit's existing base prospectus and are admitted to trading on the stock exchange in Ireland.

DLA Piper has advised on Danish law in connection with the issue, including the preparation of supplement to Jyske Realkredit's base prospectus and the transaction documentation. The bonds have been sold by a consortium of Nordea, Credit Suisse, Dekabank Deutsche Girozentrale, Landesbank Baden-Württemberg and Jyske Bank.

Clifford Chance advises DPE on financing its investment in leading IT services provider BE-terna

Clifford Chance has advised DPE Deutsche Private Equity GmbH (DPE) on the unitranche financing of its investment in BE-terna, a leading full-service provider of enterprise resource planning systems (ERP) in Germany, Austria and Switzerland. A revolving credit facility was also arranged in conjunction with the unitranche financing. The transaction has already been completed.

White & Case Advises Intesa Sanpaolo on Any and All Tender Offer with US$2.1 Billion Take Up

Global law firm White & Case LLP has advised Intesa Sanpaolo on its any and all tender offer in the United States, which is related to a total of US$3.75 billion in principal amount of four series of Notes, each of which was issued under its US$50 billion Medium Term Notes 'Yankee' Program.

Intesa Sanpaolo accepted tenders for a total amount of US$2.1 billion in principal amount.

Gide on Vinci's issuance of €75,000,000 CMS linked notes including a conversion option to fixed rate due March 2039

Gide has advised Credit Agricole Corporate and Investment Bank on the standalone issuance by Vinci of €75,000,000 notes linked to CMS rates due March 2039. The notes include a conversion option to fixed rate at the noteholder's discretion and are admitted to trading on Euronext Paris.

Gide's team was led by partner Hubert du Vignaux and counsel Laurent Vincent, assisted by Aude-Laurène Dourdain and Stéphanie Trost.

The issuer was assisted by Clifford Chance Paris.

White & Case Advises Republic of Uzbekistan on Debut Bond Offering

Global law firm White & Case LLP has advised the Ministry of Finance of the Republic of Uzbekistan on the establishment of its Global Medium Term Note Programme and inaugural Reg S/Rule 144A dual-tranche US$1 billion bond offering.

"We have advised the Republic of Uzbekistan on its debut bond, a landmark deal for the country which should help pave the way for further Uzbek issuers to access the international debt markets," said White & Case partner Melissa Butler, who led the Firm's deal team.
