VODInn, a company operating a platform providing unlimited access to movies for hotels and health establishments, has issued bonds subscribed by FPS SOLUTIONS FIDUCIE ENTREPRISES 2017, an investment fund managed by SOLUTIONS FIDUCIE, in view of financing its growth.

The issue was in particular secured by a portfolio of receivables transferred to a fiducie-sûreté managed by SOLUTIONS FIDUCIE for the benefit of the representative of the bondholders’ group.

Gide advised Unibail-Rodamco-Westfield on the refinancing of the Galeria Mokotow shopping centre

Gide Warsaw advised Unibail-Rodamco-Westfield, the largest commercial real estate company in Europe, on the refinancing of the Galeria Mokotow shopping centre in Warsaw.

A EUR 200,000,000 credit facility was granted by Commerzbank AG.

The team was headed by Mateusz Gronau, advocate within Gide Warsaw's Banking & Finance department, led by partner Pawel Grzeskowiak.

White & Case Advises Credit Bank of Moscow on €500 Million Eurobond Offering

Global law firm White & Case LLP has advised Credit Bank of Moscow on its offering of €500 million 5.15 percent Eurobonds due 2024.

The notes are dual listed on the regulated markets of Euronext Dublin and the Vienna Stock Exchange.

The White & Case team which advised on the transaction was led by partner Darina Lozovsky (Moscow & London) and local partner Dmitry Lapshin (Moscow), and included counsel Doron Loewinger (London) and associates Renat Akhmetzyanov and Yulia Akulinina (both Moscow).

European Investment Bank's $3 Billion Registered Notes Offering

Cravath represented the European Investment Bank in connection with its $3 billion registered notes offering. The European Investment Bank, which functions as the bank of the European Union, supports projects that make a significant contribution to growth, employment, economic and social cohesion and environmental sustainability, both in the EU and beyond. The notes were listed on the Luxembourg Stock Exchange. The transaction closed on February 21, 2019.

The Korea Development Bank $1 Billion Notes Offering

Davis Polk advised the underwriters in connection with an SEC-registered Schedule B debt offering by The Korea Development Bank of $500 million aggregate principal amount of its 3.00% notes due 2022 and $500 million aggregate principal amount of its 3.25% notes due 2024.

The Davis Polk corporate team included partner James C. Lin and registered foreign lawyer Tae-Hun Kim. All members of the Davis Polk team are based in the Hong Kong office.

Gide on the first Tier 2 subordinated issuance under the CNP Assurances EMTN Program

Gide advised CNP Assurances on the inaugural issuance of Tier 2 subordinated bonds under its EMTN Program for an amount of EUR 500 million due 2029, bearing interest at a fixed rate of 2.75%, admitted to trading on Euronext Paris.

Gide's team was led by partner Hubert du Vignaux, assisted by senior associate Bastien Raisse and associate Mariléna Gryparis.

Predator Oil & Gas Holdings Plc issues a convertible loan note to raise £1.5 million

Following the standard listing on the Main Market of the London Stock Exchange in May, publically listed client Predator Oil & Gas Holdings (Predator) have announced that they have issued a convertible loan note instrument to Arato Global Opportunities LLC (the Lender). The net proceeds of the loan notes will be used to fund a returnable bank guarantee to be put in place in relation to their exclusive licence for hydrocarbon exploration and appraisal onshore northern Morocco by the Office National des Hydrocarbures et des Mines (ONHYM) .

BANCO BTG PACTUAL S.A.’S $600 MILLION SUBORDINATED NOTES OFFERING

Shearman & Sterling represented Banco Bradesco BBI S.A., BTG Pactual US Capital, Citigroup Global Markets, Deutsche Bank Securities, Nomura Securities International and UBS Securities LLC as joint bookrunners in connection with Banco BTG Pactual S.A.’s issuance, through its Cayman Islands branch, of its $600 million 7.750% subordinated notes due 2029.

("LATAM"), as guarantor, in the Rule 144A / Regulation S offering of $600,000,000 of 7.000% Senior Notes due 2026 issued and sold by LATAM Finance Limited, a finance subsidiary of LATAM, and guaranteed by LATAM. The proceeds are expected to be used for general corporate purposes.
