Baker & McKenzie advises Deutsche Beteiligungs AG on investment in Swiss Mageba

Dusseldorf/Frankfurt, 17. December 2015 – Baker & McKenzie advised Deutsche Beteiligungs AG (DBAG) and its managed DBAG Expansion Capital Fund (ECF) on its acquisition of a substantial minority interest in mageba AG (mageba). DBAG will invest about 47 percent and DBAG ECF some 53 percent of the investment sum. The investment was agreed yesterday by DBAG, DBAG ECF and the principal shareholders of the Swiss family business. The transaction is to be completed in the first quarter of 2016 and is contingent on approval by the cartel authorities.

Herbert Smith Freehills advises TCL Multimedia on high-profile China media tie-up with LeTV

Herbert Smith Freehills has advised Hong Kong-listed smart TV manufacturer TCL Multimedia Technology Holdings Limited on its strategic tie-up with Mainland online video operator LeTV.

The transaction included LeTV's purchase of 348.85 million shares in TCL Multimedia, a total investment amounting to HK$2.27 billion (US$230 million), and a shareholding percentage of around 20.1% after completion. The transaction is expected to close early next year.

Debevoise Advises Capital International in its approximately $200 Million Acquisition of a Minority Stake in Mankind Pharma, an Indian pharmaceutical company

The Hong Kong office of Debevoise & Plimpton has advised Capital International (“Capital”) in its acquisition of an 11% stake in Mankind Pharma, one of India’s leading pharmaceutical companies, from another private equity seller, ChrysCapital.

Under the terms of the agreement, Capital will pay approximately $200 million in cash for ChrysCapital’s entire equity stake, valuing Mankind Pharma at $2.1 billion. Capital will be the only outside shareholder, with the promoter family retaining the remaining 89% of the company.

Finance experts advise Australian Renewable Energy Agency on landmark Queensland solar farm

Herbert Smith Freehills has advised the Australian Renewable Energy Agency (ARENA) on its A$22.8 million funding of the Barcaldine Remote Community Solar Farm – a 25MW DC solar PV facility to be located in central west Queensland.

The solar farm will be a first for Australia and use a single axis tracking system to provide merchant solar power in a fringe-of-grid location. Fringe-of-grid areas in regional Australia often experience challenges with reliability and outages because of network constraints and limited infrastructure.

Macfarlanes advises RBS on co-lending platform

Macfarlanes has advised RBS on an innovative structure and agreements with Hermes Investment Management, M&G Investments and AIG Asset Management to co-fund loans of up to £100m for medium-sized businesses.

These agreements enable, for the first time, mid-market companies owned by private equity sponsors to borrow up to £100m in a single transaction co-funded by all four lenders.
