White & Case Advises DentalPro on Acquisition of Italian Dental Clinic Group

Global law firm White & Case LLP has advised DentalPro Group S.p.A., the Italian dental company controlled by private equity fund Summit Partners, on its acquisition of the Italian dental clinic group Giovanni Bona, fully owned by AB Holding S.p.A.

The transaction has been partially financed by shareholders and partially through a bond issuance managed by Pemberton Asset Management.

Lohmann & Rauscher's acquisition of Varitex

NautaDutilh assisted medical devices supplier Lohmann and Rauscher (L&R) entity with the acquistion of N.V. Varitex.

Varitex has been developing, producing and marketing compression stockings and other products under the brand of the same name, Varitex, on the Dutch market since its founding in 1947. In addition, Varitex also manufactures a range of private label products, for which it is already a long-term supplier of the British L&R subsidiary Activa Healthcare Ltd. The transaction value was undisclosed.

Delphi represents Warner Music Group in its acquisition of X5 Music Group AB

Warner Music Group, one of the major US record companies, has acquired X5 Music Group AB. X5 is specialised in licensing catalogues and specific genres of music to create playlists, streaming and download products. X5 will continue to operate as a standalone company under its existing management.

Delphi's team was led by partners Fredrik Mörner (M&A) and Henrik Bengtsson (IP) and consisted mainly of counsel Richard Lenemark and associates Frida Lager, Kajsa Wahrenby and Rebin Ahmad.

Mills & Reeve advises on Dutch acquisition of UK company

Our corporate team has advised an international Dutch manufacturer and retailer of blinds on the acquisition of a UK company.

The team, led by partner Chris Ross and including Ryan Hawley and Kevin Lowe, advised Hunter Douglas, which has its world headquarters in Rotterdam, on its acquisition of a 60 per cent stake in Blinds2go, the leading online blinds retailer in the UK, with 2015 sales of UK £34 million.

Blinds2go is based in Nottingham and employs 60 people. Management will remain unchanged and continue to own 40 per cent of the company.

Travers Smith advises Caffè Nero Group on purchase of Harris & Hoole

Travers Smith LLP has advised Caffè Nero Group on its acquisition of Harris & Hoole from Tesco.

Travers Smith originally advised on the establishment of Harris & Hoole, a chain of artisan coffee shops, in 2012. 

Harris + Hoole has 43 stores nationwide and Caffè Nero Group currently has over 700 stores worldwide.

Tesco originally purchased a 49 per cent stake in the coffee shop chain, before purchasing the remaining 51 per cent stake from the original owners earlier this year.

Mayer Brown advised Balmain’s management on acquisition by Mayhoola

Paris - Mayer Brown advised the management of the French fashion house Pierre Balmain, founded in 1945, on the acquisition of the group by Mayhoola.

Mayhoola’s arrival will allow the brand to accelerate its development, in particular through the opening of new outlets outside of France.

Mayhoola already owns the Valentino fashion house, acquired in 2012 for € 700 million, as well as a majority stake in the Italian tailor Pal Zileri and in the British brand Anya Hindmarch.

White & Case Advises on Supercell Transaction

Global law firm White & Case LLP is advising Finland-based Supercell Oy on its US$8.6 billion majority stake acquisition by Tencent Holdings Limited, one of China's largest and most used internet portals.

Under the terms of a conditional share purchase agreement, the buyer will initially acquire Supercell securities accounting for a total of up to about 84.3 percent of Supercell securities in a transaction valuing the company at an equity value of approximately US$10.2 billion.

Dechert Advises Orange in the Acquisition of Mobile Operator Airtel in Burkina Faso

Dechert LLP advised Orange, one of the world’s leading telecommunications operators, together with its subsidiary Orange Côte d’Ivoire, in the closing of the acquisition of 100% of the mobile Airtel in Burkina Faso. Since the signature of an agreement with Bharti Airtel International (Netherlands) BV (“Airtel”) in January 2016, Orange has satisfied the conditions necessary to complete this transaction.
