APM Terminals with NCTM in the acquisition of Reefer Terminal

NCTM Studio Legale, with a team coordinated by partners Federico Manili and Piero Corigliano, and associate Miranda Cellentani assisted APM Terminals B.V. in the acquisition of 100% of Reefer Terminal S.p.A., closed today.

Reefer Terminal is, and has been for over 30 years, the largest refrigerated terminal in the Mediterranean, as well as a world-class terminal for the handling of containers and general cargo. Within the Vado Ligure port the target company will become an integral part of the new semi-automated container terminal of APM, which will open in 2018.

Nomad Foods Limited enters into Binding Offer to acquire the Continental European Findus Group Businesses for GBP 500 million

Nomad Foods Limited ("Nomad") announced today that it has entered into an option agreement with LionGem Sweden 1 AB (the "Seller") under which Nomad or one of its subsidiaries shall be obliged at the option of the Seller to acquire Findus Sverige AB and its subsidiaries for approximately GBP 500 million. Through this transaction Nomad will acquire Findus Group´s continental European businesses in Sweden, Norway, Finland, Denmark, France, Spain and Belgium.

Aernnova: Acquisition of Patricomp

Castres & Snellman represented Aernnova Group in its acquisition of Patricomp Oy, a Finnish aerospace company servicing both the civil and military aircraft industries.

Aernnova, headquartered in Spain, is a leading aerostructures company specialised in the design and manufacturing of aerostructures and components for, e.g. major aircraft industry players such as Airbus and Embraer. The annual turnover of Aernnova Group in 2014 was over EUR 600 million and it had more than 4,700 employees worldwide.

Jungheinrich acquires MIAS Group with the support of Heuking Kühn Lüer Wojtek

Assisted by Heuking Kühn Lüer Wojtek, led by Hamburg-based partner Dr. Stefan Duhnkrack, Jungheinrich continues to expand its leading position as a provider of logistics systems. Jungheinrich AG signed an agreement regarding the acquisition of MIAS Group with its owners. The acquisition price was not disclosed. Subject to the usual conditions precedent, the transaction is expected to be completed in Q4 2015.

RPC has advised Howden UK, part of Hyperion Insurance Group, on its acquisition of leading independent insurance broker, Perkins Slade Forrest Holdings Limited.

DWF advises Williams Group on acquisition of Stratstone Jaguar Manchester

DWF LLP advised prestige motor retailer, the Williams Group, on its acquisition of Stratstone Jaguar Manchester for an undisclosed sum.

Based on Upper Brook Street in Manchester, the dealership will now be called Williams Jaguar Manchester, and all current staff will be retained.

This dealership will be the fourteenth in the Williams Group £360m turnover portfolio, which includes BMW, MINI and Motorcycles, with official manufacturer franchises in Bolton, Liverpool, Manchester, Rochdale and Stockport.

Clifford Chance advises Denka on the acquisition of Icon Genetics

Clifford Chance advised the Japanese Denka-Group on its acquisition of Icon Genetics GmbH, Halle, Germany. The vendor was Nomad Bioscience GmbH, Munich. The purchase price amounts to up to EUR 75 million.

Denka with its headquarters in Tokyo is a globally acting group which specialises on raw materials, electronics and the growth sector pharmaceuticals where it focuses on vaccines and diagnostics.

Icon Genetics is a research and development company which specialises on the development of vaccines in particular against the Norovirus as well as other pathogens.
