DLA Piper represented Avalara, Inc., provider of a leading cloud-based software platform that delivers an array of compliance solutions related to sales tax and other transactional taxes, in its acquisition of the line of Zytax energy-related tax automation solutions.

Avalara acquired the Zytax offering from FuelQuest, a provider of on-demand software and services for global downstream energy companies

DAC Beachcroft Advises SintecMedia Ltd on Acquisition of Pilat Media Global plc

DAC Beachcroft has advised Israeli company SintecMedia Ltd and its wholly-owned UK subsidiary Sintec Media Software Limited on their acquisition of Pilat Media Global Plc for £63.3 million.

SintecMedia, which is majority-owned by US-based private equity house Riverwood Capital, is a pre-eminent provider of global broadcasting management solutions for some of the world's leading media companies, including ABC & NBC Universal (USA), BBC and Fox.

Norton Rose Fulbright advises IRIS on acquisition of leading HR software provider

Norton Rose Fulbright has advised IRIS Software Group, a leading UK accountancy and payroll software provider, on the acquisition of Cascade Human Resources Limited, a leading provider of HR and payroll solutions.

The acquisition gives the combined business a joint customer base of over 60,000 UK businesses, and will broaden IRIS’ product range to include HR solutions alongside IRIS’s Payroll & Bookkeeping applications.

Clifford Chance advises Permira funds on the acquisition of specialty chemicals company CABB

Clifford Chance has advised a company held by Permira funds on the acquisition of specialty chemicals company CABB International, Sulzbach (near Frankfurt am Main) from Bridgepoint. The transaction is subject to approval from the competent antitrust authorities.

CABB is a leading global supplier of fine chemicals, specialty chemicals and intermediates to a variety of growing global industries including the agrochemicals industry. CABB was founded in 2003 in the course of the restructuring of Clariant's acetyl business.

King & Wood Mallesons SJ Berwin advised Equistone, one of Europe’s leading mid-market private equity investors, on the acquisition of a majority stake in Finaxy Group (Finaxy), alongside the Group’s Chairman, Erick Berville.

Founded in 2008, Finaxy is a multi-specialist insurance broker. The company employs about 170 associates across 19 subsidiaries and a client base of 8,000 companies and 55,000 individuals. Finaxy generates an annual turnover of €300 million (premiums collected).

Linklaters advises PZU on acquisitions in Poland and the Baltics

Linklaters has advised the CEE’s largest insurance company PZU on the acquisition of four insurance companies, Link4 (Poland), Lietuvos Draudimas (Lithuania), AAS Balta (Latvia) and Codan Forsikring (Estonia), from RSA, the British insurance group.

As a result of the acquisition, which was announced on 17 April, PZU will become the largest insurer in the Baltic region. Closing of the transaction is subject to regulatory approvals.

Assisted by Linklaters DBAG Fund VI acquires a stake in Dahlback

Linklaters advised Deutsche Beteiligungs AG (DBAG) and DBAG Fund VI on the acquisition of Dahlewitzer Landbäckerei GmbH (Dahlback) from the financial investor Steadfast and the company’s managing shareholder. The latter is going to make a new investment in the company and to continue to hold office. DBAG Fund VI will assist Dahlback in further expanding its operations. The contract they entered into is subject to the approval of the competent antitrust authorities.

Weil Advises Eli Lilly in $5.4B Acquisition of Novartis Animal Health

Weil is advising Eli Lilly and Company in its agreement to acquire Novartis Animal Health for approximately $5.4 billion in an all-cash transaction that is expected to close by the end of the first quarter of 2015, subject to regulatory and other customary closing conditions. Upon completion of the acquisition, Elanco, Lilly's own animal health business, will be the second-largest animal health company in terms of global revenue.
