Cologne – TATA Steel has signed an agreement for the sale of the Kalzip Group to Donges SteelTec, a subsidiary of Mutares. The sale is currently awaiting approval from the competition authorities. The parties agreed not to disclose details of the purchase price.
An international CMS team headed by lead partner Dr Malte Bruhns acted as the main legal advisor to TATA Steel on the transaction and the preceding bidding process. In addition to CMS in Germany, the Netherlands and Belgium, the multi-location team also included a number of other law firms in foreign jurisdictions. TATA Steel is a longstanding CMS client, with legal advice being provided on a regular basis.
Kalzip is one of the world’s leading suppliers of aluminium building envelopes. It is a standalone business unit within TATA Steel Europe, Europe’s second largest steel producer. With its international locations and sales offices and one of the world’s largest fleets of mobile production units, Kalzip is represented in almost all key regions of the globe. The transaction comprises the sale of Kalzip companies and assets in Germany, England, Italy, Spain, the United Arab Emirates, Singapore, India and the USA.
Munich-based Mutares is listed on the stock exchange in Frankfurt. It specialises in acquiring companies and divisions that are sold off as part of a corporate repositioning.
