Olswang advises Hawksmoor sister restaurant group Foxlow on its latest acquisition

06 Oct 2015

Olswang has advised modern European restaurant group Foxlow Restaurants Limited on its acquisition of Dinish Restaurants Limited, operator of Sam Harrison’s two restaurants: Chiswick’s Sam’s Brasserie and Harrison’s in Balham. Foxlow is a subsidiary of Underdog Restaurants Limited, which also owns high-end steak franchise Hawksmoor.

The deal, which closed 30 August, will see the Hawksmoor duo Will Beckett and Huw Gott transform both restaurants in to Foxlow outposts in London’s West and South boroughs. Known for its meaty menu and classic cocktails, Foxlow also recently opened a branch in Stoke Newington, expanding upon its original centre-city location in Clerkenwell.

Olswang has advised the Hawksmoor duo on a number of matters since 2012, including the investment by Graphite capital and the rollout of the Hawksmoor and Foxlow brands, and this latest deal saw Olswang advise on several legal aspects of the deal including the corporate transaction as well as employment, IP and tax issues.

Olswang Partner and Head of Leisure David Roberts commented: “It was a pleasure to advise Will and Huw on their latest acquisitions, which will no doubt be just as popular with London patrons as their thriving string Hawksmoor resturants. They’ve become real superstars in city’s dining scene in the past few years, and we look forward to seeing their continued success with their latest endeavour Foxlow."

The team was led by Corporate Partner David Roberts with assistance from Corporate Associate Joshua Swerner and Corporate Trainee Nicola Waghorn. Employment specalits Partner Mel Lane and Senior Associate Gina Young assisted whilst Partner Graham Chase advised on tax and Senior Associate Joel Vertes on IP.

Olswang's global Leisure practice combines the skills of its multi-award-winning corporate lawyers with the firm’s renowned finance, commercial and regulatory, construction, development, real estate, IP, tax, litigation, franchise or employment related issues faced by leisure businesses.
