Shearman & Sterling represented Goldman Sachs Bank USA and Jefferies Finance LLC, as mandated lead arrangers, in connection with the financing of TPG Capital's acquisition of TSL Education, a digital education business. The financing consisted of senior secured term facilities and a revolving credit facility.
TSL Education has in recent times expanded from its core publication of the weekly Times Educational Supplement into a range of digital platforms targeted at the education sector. The group’s flagship platform is TES Connect website, which the company claims connects a community of 52 million teachers and students across the world.
The Shearman & Sterling team of lawyers in the firm’s London office was led by finance partner Iain Goalen, assisted by associates Jackson Lam and Camilla Hunter. Tax advice was provided by partner Iain Scoon and associate Jack Prytherch. Finance partner James Duncan and associate Katerina Rainwood advised on hedging arrangements.
