Watson, Farley & Williams (“WFW”),has advised Joh. Berenberg, Gossler & Co. KG (“Berenberg Bank”) and KBC Deutschland AG (“KBC”) under the existing acquisition and working capital facility framework for the add-on-acquisition of revos watercooler GmbH (”revos“) by Aqua Vital Quell- und Mineralwasser GmbH (“Aqua Vital”).
Located in Neuss, Germany, Aqua Vital is a leading provider of water dispensers and has been part of the investment portfolio of Frankfurt-based private equity firm Halder Beteiligungsberatung since July 2013. WFW also advised Berenberg and KBC on the financing of last year’s MBO of Aqua Vital by Halder.
revos, located in Munich, was established in 1993. Since 1996, its business has focused on bottled water coolers (BWC), allowing the company to become a significant presence in the market, with an installed base of more than 15,000 dispensers and total sales of more than €6 million in 2013.
As a part of Aqua Vital Group, revos will continue to operate its proven business model and supporting organizational structure; both managing directors are becoming shareholders in the newly formed group. The acquisition broadens Aqua Vital’s position in the growing German market significantly, with the company now enjoying a 40% share of the BWC market with the addition of revos.
