Fuel cell energy appliance manufacturer SOLID POWER acquires business of Ceramic Fuel Cells GmbH with Heuking Kühn Lüer

SOLID POWER GmbH, the German subsidiary of Italian fuel cell energy appliance manufacturer SOLID POWER S.p.A., acquired the business operations of Ceramic Fuel Cells GmbH, based in Heinsberg, North Rhine-Westphalia, in the context of an international bidding procedure. Led by Hamburg-based partner Dr. Lothar Ende, Heuking Kühn Lüer Wojtek comprehensively advised the client.

Construction to start on Thames Water ‘Super Sewer’

The construction of London’s new £4.2bn ‘super sewer’ – the Thames Tideway Tunnel – will begin next year. This follows the confirmation of independent investors to finance and deliver the scheme.

Bazalgette Tunnel Limited is the new special-purpose company appointed to take the project forward, and today received its licence from Ofwat as a new regulated utilities business, separate from Thames Water.

Shearman & Sterling advises on US$1.5 billion CHP5 IPP in Mongolia

Shearman & Sterling is advising a consortium comprising GDF Suez, POSCO Energy, Sojitz Corporation and Newcom in relation to all aspects of the development of the CHP5 IPP, a greenfield coal-fired combined heat and power plant in Ulaanbaatar in Mongolia with an electrical capacity of up to 450MWe and heat capacity up to 587MWt. The four banks mandated by the sponsors for the financing are Credit Agricole, HSBC, Sumitomo Mitsui Banking Corporation and Bank of Tokyo Mitsubishi-UFJ.

Munters divests Keruilai in China to Symphony

Munters AB has entered into an agreement to divest Munters Keruilai Air Treatment Equipments (Guangdong) Co., Ltd. in China to Symphony Limited of India. The divestment is part of a strategic business restructuring being undertaken by Munters.

Symphony Limited, headquartered in Ahmedabad, India, is focused on evaporative air coolers with design-driven innovation and green engineering for domestic and industrial customers in over 60 countries. The company’s share is traded on the Bombay, National and Ahmedabad Stock Exchanges in India.

Clifford Chance advised Delta Solar and Aloe Invest on a solar PV plant portfolio refinancing. Delta Solar, one of France's top five solar operators, has successfully refinanced a portfolio of nine photovoltaic parks located in various parts of southern France and Corsica with a total installed capacity of 67.3 MWp.

Norton Rose Fulbright advises regulator on licence award for £4.2bn Thames Tideway Tunnel

Norton Rose Fulbright has advised The Water Services Regulation Authority (Ofwat) on the award of the project licence to Bazalgette Tunnel Limited (Bazalgette) to build, own, finance and maintain the landmark £4.2bn Thames Tideway project.

Bazalgette is a consortium of investors comprising Allianz, Dalmore Capital Limited, DIF, and Amber Infrastructure Group. Following a competitive tender process, Bazalgette was announced as the infrastructure provider for the project on July 14, 2015.

Construction of London's new £4.2bn 'super sewer' will start next year following the confirmation of independent investors to finance and deliver the scheme.

Stibbe advises E.ON on the Langerlo Conversion project and the divestment to German Pellets

E.ON and German Pellets signed an SPA for the transfer of 100% of the shares in Langerlo NV.

On 14 August, E.ON and German Pellets signed an SPA for the transfer of 100% of the shares in Langerlo NV. Langerlo NV is the company owning the hard coal-fired electricity generation plant in Langerlo and holding the rights for the conversion into a 100% biomass fired plant. This is one of the biggest transactions on the Belgian energy market for this year.

The conversion project is also considered to be key for the Flemish region’s 2020 renewable targets.

Slaughter and May advised DONG Energy on its acquisition of SMart Wind, a company established as a joint venture between Mainstream Renewable Power and Siemens Project Ventures to develop offshore wind projects in the Hornsea Zone, together with certain other companies relating to SMart Wind's development of the Hornsea Zone. The Hornsea Zone forms part of The Crown Estate's Round 3 offshore wind programme.
