Allen & Overy Warsaw advised Banco Santander and its Polish subsidiary Bank Zachodni WBK S.A. (BZ WBK) on its acquisition of Deutsche Bank Polska's retail and private banking businesses, excluding its foreign currency mortgage portfolio and including the shares of DB Securities, S.A. (Poland), for an estimated total consideration of EU305 million.

Eversheds Sutherland has advised the Swedish FinTech company Betalo in connection with their raising of capital and initiation of a partnership with Nordea.

Betalo has developed an app for private individuals and companies to pay bills with debit and credit cards and send money within Sweden or abroad at significantly lower prices than traditional banks and exchange offices.

Warwick Credit Union issues first ever AT1/MEI instruments

King & Wood Mallesons (KWM) has advised Warwick Credit Union (Warwick) on Australia’s first ever issuance of capital notes convertible to mutual equity interests (MEIs) by a mutually owned authorised deposit-taking institution (ADI).  The transaction is intended to support Warwick’s capital adequacy.

The KWM team was led by Partners Jo Dodd and Scott Heezen, and assisted by Solicitors Marina Lauer, Joshua Fisher and Melissa Simpson.

Orrick Advises InfraCapital on UK’s West Midlands £700 Million Rolling Stock Deal

Corelink Rail Infrastructure, a new rolling stock lessor platform owned by Infracapital and Deutsche Asset Management, has purchased £700 million of rolling stock to fund its operation of the UK’s new West Midlands Trains franchise.

The investment is part of £1 billion of capital the new operators have committed to spend on improvements to the franchise. The £700 million will be used to purchase 100 new trains, creating space for 85,000 additional passengers to travel to London and Birmingham, as well as on station improvements.

Dentons advises Joint Lead Managers on Emirates REIT Sukuk issuance

Dentons has advised the Joint Lead Managers on the issuance of US$400 million Trust Certificates due 2022 (Sukuk) by Emirates REIT (CEIC) Limited (Emirates REIT), which completed on 12 December 2017. The transaction represents Emirates REIT's inaugural capital markets issuance and the first sukuk issuance by a REIT based in the MENA region.

The Sukuk were listed on the Irish Stock Exchange and were offered to sophisticated investors outside of the United States in reliance on Regulation S under the US Securities Act 1933.

White & Case Advises Joint Lead Managers on €1 Billion Bond by OMV Aktiengesellschaft

Global law firm White & Case LLP has advised the joint lead managers Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank, Mizuho International plc and UniCredit Bank Austria AG on a €1 billion bond issue by OMV Aktiengesellschaft. It is the largest bond issue in the Austrian market for 2017.

The notes have a term of nine years, a fixed coupon of 1% and will be admitted to trading on the regulated markets of the Luxembourg Stock Exchange and the Vienna Stock Exchange

Burges Salmon has advised IDCM Limited acting as arranger on a £78.8 million loan facility provided by Aviva Investors for the aggregation and refinancing of a portfolio of mixed commercial ground mounted and residential commercial and domestic rooftop solar projects in England & Wales and Northern Ireland, managed by Oxford Capital Partners.
