White & Case Advises Global Coordinator and Lenders on Financing of Brazilian Thermoelectric Power Plant

Global law firm White & Case LLP has advised Goldman Sachs & Co. LLC, Inter-American Investment Corporation (IDB Invest), International Finance Corporation (IFC) and Swiss Export Risk Insurance (SERV) in structuring approximately R$5.0 billion (US$1.8 billion) in financing for the design, construction and operation of a 1,516 MW thermoelectric power plant in Brazil.

TLT defeats Vijay Mallya applications in £1.145 bn debt recovery action for 13 Indian banks

TLT has acted for a consortium of 13 Indian banks led by State Bank of India, successfully defeating two applications by high profile businessman Dr Vijay Mallya.

The first was an application to set aside the first recorded case of a judgment of the Debt Recovery Tribunal in India being registered by the English High Court and the second was to discharge an associated worldwide freezing order.

TLT also acted for the banks in November 2017 to secure the registration and freezing order.

Herbert Smith Freehills advises Joint Lead Managers on Macquarie’s A$600m Capital Notes 3 Issue

Herbert Smith Freehills has advised the Joint Lead Managers of Macquarie Group Limited’s (MGL) offer of Macquarie Group Capital Notes 3 (MCN3). MCN3 are fully paid, unsecured, subordinated, non-cumulative, mandatorily convertible notes issued by MGL, and are being offered at an issue price of A$100 per MCN3.

The offer is intended to raise A$600 million, with the ability to raise more or less.

Mayer Brown advises Joint Lead Managers and Bookrunners on landmark US$ 2.5 billion Sri Lanka sovereign bond offering

Mayer Brown advised the Joint Lead Managers and Bookrunners on the Democratic Socialist Republic of Sri Lanka’s offering of new senior unsecured fixed rate notes, comprising of US$1.25 billion 5.75% notes due 2023 and US$1.25 billion 6.75% notes due 2028. The Joint Lead Managers and Bookrunners were Citigroup, Deutsche Bank, HSBC, J.P. Morgan and Standard Chartered Bank. This was Sri Lanka’s largest offshore bond offering to date, and mark Sri Lanka’s twelfth US dollar benchmark offering in the international bond markets since 2007.

Ping An Healthcare and Technology Company Limited HK$8.77 Billion ($1.12 Billion) Initial Public Offering

Davis Polk advised the joint global coordinators in the Hong Kong initial public offering of Ping An Healthcare and Technology Company Limited. The gross proceeds from the offering amounted to approximately HK$8.77 billion ($1.12 billion) prior to the exercise of the over-allotment option.

In another landmark Asia capital markets transaction, Milbank, Tweed, Hadley & McCloy advised Credit Suisse, as underwriter, on a US$310 million concurrent equity placement and convertible bond offering by a leading Vietnamese real estate developer, No Va Land Investment Group Corporation (“Novaland”), marking the first ever capital raise for a Vietnamese company in a concurrent equity placement and convertible bond offering. The concurrent offering was also the first equity-linked bond issuance out of Vietnam since 2012.

The preferred shares are listed in Brazil on the São Paulo Stock Exchange and were offered in Brazil and sold offshore with the offshore offering done pursuant to Rule 144A/Regulation S.
