Shearman & Sterling Advises J.P. Morgan and UniCredit on €360 Million High Yield Bond Offering and €50 Million Credit Facilities Agreement

Shearman & Sterling acted as US law counsel to J.P. Morgan Securities plc and UniCredit Bank AG in the €360 million high yield bond issue of CMF S.p.A. (company entirely held by Manutencoop Società Cooperativa) and to J.P. Morgan Limited and UniCredit S.p.A. as lenders in the related €50 million super senior revolving credit facility. The transactions closed on July 7, 2017.

Leonard Moll AG acquires Techno-Physik – Noerr advises DZ BANK AG and NRW.BANK on financing

The commercial law firm Noerr advised DZ BANK AG Deutsche Zentral-Genossenschaftsbank, Frankfurt am Main, Germany, and NRW.BANK on acquisition financing. In a strategic acquisition, Leonard Moll AG took over the Techno-Physik group, one of the world's leading providers of systems for high-end insulation and fire protection products. The sellers in the deal include the holding company Finatem.

Slaughter and May is advising DS Smith Plc, the leading provider of corrugated packaging in Europe and of specialist plastic packaging worldwide, on the debt financing aspects of its proposed US$920 million acquisition of Interstate Resources, a family-owned integrated packaging and paper producer concentrated on the East Coast of the United States. The acquisition will be financed in part by a £400 million bridge facility with Citigroup Global Markets Limited and J.P.

Global law firm White & Case LLP has advised the financing banks on the acquisition by CVC Capital Partners of Pasubio S.p.A., a specialised producer of luxury automotive upholstery and manufactured leather.

Gleiss Lutz advises Triton on the financing of its acquisition of univativ

Gleiss Lutz has advised the German-Scandinavian private equity house Triton on the financing of its acquisition of univativ, a leading German provider of specialised personnel services. The financing is made available by means of a unitranche provided by Pemberton European Mid-Market Debt Fund. The parties have agreed not to disclose the purchase price or the amount of the loan. The transaction is subject to the approval of the responsible antitrust authorities in the relevant jurisdictions.

Clifford Chance also advised on SAFE's pre-IPO financing with institutional investors and the arrangement of a US$300 million credit facility for the company. Formed and wholly owned by real estate investment firm iStar Inc., SAFE is the first public REIT to own, manage, finance and capitalize ground net leases ("GNLs").
