Linklaters advises as ISDA publishes ISDA Benchmarks Supplement

Linklaters has advised The International Swaps and Derivatives Association, Inc. (ISDA) as it today publishes the ISDA Benchmarks Supplement.

The Benchmarks Supplement provides market participants with the ability to enhance contractual robustness for certain derivatives which reference interest rate, equity, fx and commodities benchmarks. It has been designed to help firms address the requirements of the European Benchmarks Regulation and also responds to IOSCO’s Statement on Matters to Consider in the Use of Financial Benchmarks.

A cross-border team from global law firm Norton Rose Fulbright has advised Allianz Global Corporate & Specialty's alternative risk transfer unit, together with its partner Nephila Climate, on a proxy revenue swap for the 98MW Susan River Solar Project and the 78MW Childers Solar Project.

These two transactions were a first of their kind not only in Australia but also in the global energy renewables market.

Mayer Brown's UK Pensions Risk Transfer Group advised the trustee of the National Grid Electricity Group of the Electricity Supply Pension Scheme on a fully intermediated longevity swap transaction with Zurich covering pension liabilities worth more than £2 billion.

DLA Piper has advised long-standing client, the Group Trustee of the National Grid Electricity Group of the Electricity Supply Pension Scheme, in relation to the completion by leading insurer Zurich of an intermediated longevity swap covering more than £2 billion of pensioner liabilities of the Group. This deal is Zurich’s largest to date as it grows its presence in the longevity risk market.

Eversheds Sutherland advises Forewind consortium on swap agreements for world’s largest offshore wind development

Eversheds Sutherland has advised the Forewind consortium on the arrangements to swap ownership interests in the four consented Dogger Bank offshore wind projects which, with a total targeted installed capacity of 4.8GW, make up the largest offshore wind development in the world.  These projects, located more than 130km off the Yorkshire Coast, have the potential to provide renewable energy to up to five million UK homes.

DLA Piper advises DIC Asset on tender agreements for support of TLG Immobilien AG Takeover Offer to WCM Shareholders

DLA Piper has advised DIC Asset AG in relation to their support of the public takeover offer submitted by TLG Immobilien AG for the shares of WCM Beteiligungs- und Grundbesitz-AG. As one of the largest shareholders, the DIC Asset Group holds about 25.95% of WCM's share capital and has now entered into tender agreements with TLG Immobilien in which it has, subject to certain conditions as well as terminations rights, undertaken to accept the intended public takeover offer of TLG Immobilien by way of an exchange offer.

Bär & Karrer Advises Sanofi on Exchange Transaction with Boehringer Ingelheim

Sanofi and Boehringer Ingelheim confirmed closing (in most markets) on 1 January 2017 of a $25 billion transaction involving the exchange of Sanofi’s animal health business and Boehringer Ingelheim’s consumer healthcare business.
