Global Infrastructure Partners (GIP) sells its 44.9% equity stake in FluxSwiss LLC to, among others, CSA Energy Infrastructure Switzerland (an investment group of the Credit Suisse Investment Foundation), other institutional investors, Swissgas and various other Swiss energy utilities and Fluxys, a Belgian operator of gas infrastructure in Europe. FluxSwiss LLC owns 46% of Transitgas AG and has the right to commercialize approximately 90% of the capacity of the Transitgas pipeline.

White & Case Advises UniCredit on €750 Million Sale of Stake in Bank Pekao

Global law firm White & Case LLP has advised UniCredit S.p.A. on the sale to institutional investors of approximately 26.2 million ordinary shares in Bank Pekao, the second largest Polish bank.

The shares correspond to approximately 10 percent of the share capital in Bank Pekao and the sale was carried out through an accelerated bookbuild offering to institutional investors for an aggregate value of approximately €750 million. Morgan Stanley, Citigroup, UBS and UniCredit Corporate & Investment Banking acted as joint bookrunners.

Reconomy, the Telford based provider of outsourced waste management services, has announced the acquisition of Cory Environmental’s national waste brokerage businesses.

The acquisition is the third for Reconomy since the start of 2015 and follows the purchase of Countrywide Waste Management Ltd and Network Waste.

DLA Piper advises Oando on conclusion of recapitalisation and partial divestment of equity stake in downstream operations

DLA Piper has advised Oando PLC (Oando), Nigeria’s leading indigenous energy group, listed on both the Nigerian and Johannesburg Stock Exchange, on a $210 million recapitalisation and partial divestment of its downstream operations. HV Investments II B.V., a joint venture owned by Helios Investment Partners, a premier Africa-focused private investment firm, and the Vitol Group, the world’s largest independent trader of energy commodities, will acquire the equity stake.

Dr. Jörg aus der Fünten, Partner at the Cologne office of business law firm Heuking Kühn Lüer Wojtek, advised private investment firm CoBe Capital on the acquisition of Sandvik AB's Mining Systems business unit. The transaction is subject to the occurrence of certain closing conditions and is expected to close in Q4/2016. The purchase price was not disclosed. Following the sale of Mining systems, Sandvik intends to focus more on its core business in the future.

Dechert LLP advised Poxel (Euronext – POXEL – FR0012432516) in its €26.5 million capital increase by institutional investors in the United States and in Europe. Poxel intends to mainly use this capital increase to initiate and progress the Phase 3 Imeglimin program in Japan.

Based in Lyon (France), Poxel is a biopharmaceutical company focused on the development of innovative treatments for type 2 diabetes.

Singapore’s public transport operator SMRT agrees to acquire 20% of shares in 2Getthere

De Brauw Blackstone Westbroek has advised SMRT with its investment in Dutch Group Rapid Transit systems provider 2Getthere.

SMRT and UTS agreed to take a minority stake in 2Getthere. SMRT International is acquiring a 20% stake, while UTS is increasing its shareholding to 11%. The investment is an important strategic step for SMRT that allows it to bring automated vehicles to Southeast Asia.

Dieter Wolff (lead partner), Omar Salah and their team acted as lead counsel to SMRT.
