Kirkland Represents KKR in $493 Million Takeover Offer for Telepizza

Kirkland is representing KKR in launching its takeover offer for Spain’s TelePizza Group SA at a price of €6 per share. KKR currently owns a 28.565% slice of TelePizza and is seeking to acquire and delist the company. The transaction was announced on 21 December 2018.

CMS advises automotive supplier MAHLE on acquisition of transmission specialist ZG-Zahnräder und Getriebe

Stuttgart – Automotive supplier MAHLE has acquired Munich-based transmission specialist ZG-Zahnräder und Getriebe GmbH. MAHLE will use the acquisition to expand its expertise in complete powertrains, with transmissions being a key component. The move gives the Stuttgart-based group access to additional development expertise in this field. The parties agreed not to disclose the purchase price.

CMS advises Italian measurement technology specialist Marposs on acquisition of Lehren- und Meßgerätewerk Schmalkalden

Stuttgart – Italian measurement technology specialist Marposs S.p.A. has acquired the long-established Thuringia-based company Lehren- und Meßgerätewerk Schmalkalden GmbH by way of a share deal. The financial details of the transaction were not disclosed.

A CMS team headed by lead partner Dr Peter Baisch advised Marposs on all aspects of legal due diligence and on contract design and negotiating the transaction. Marposs is a long-standing CMS client and has repeatedly relied on CMS teams.

Travers Smith advises on the acquisition of West Midland Safari Park

Travers Smith LLP and French law firm De Pardieu Brocas Maffei have advised Looping Group on its acquisition of 100% of West Midland Safari Park Limited, which operates West Midland Safari Park (WMSP).

WMSP, opened in 1973, is located near Birmingham and is one of the leading safari park attractions in the UK as well as being a family favourite across the region. The park features a four mile safari drive-through as well as a theme park and other attractions.  WMSP welcomed around 700,000 visitors in 2018, with revenues of c. £17m.

Dentons advises Canopy Growth on the acquisition of Storz & Bickel

Berlin/Frankfurt—Dentons’ German offices have successfully completed a major transaction advising a subsidiary of leading Canadian medical cannabis supplier Canopy Growth Corporation on the acquisition of all the shares in German inhaler manufacturer Storz & Bickel GmbH & Co. KG held by the private individuals Markus Storz and Jürgen Bickel for €135 million.

Dentons advises Dutch company Royal Reesink on acquisition of AM Group

Frankfurt—Global law firm Dentons has advised Dutch company Royal Reesink on the acquisition of Germany’s AM Group in the growing market of automated warehouse systems. The deal expands Royal Reesink’s warehouse automation and equipment business into Germany and other countries in which the group already operates. The parties have agreed not to disclose the acquisition price.

Reply intends to use the elbkind takeover to further expand its product range and market presence in the digital sector.
