Société Générale Insurance Acquires Stake in Régaz

Régaz operates a 3,315-kilometer regulated gas distribution network in Bordeaux and 45 surrounding municipalities, with 210,000 distribution points.

The transaction is part of Société Générale Insurance’s investment policy to promote local economic development and infrastructure development across Europe.

Linklaters advises Skanska on the acquisition of Business Link

Linklaters has advised the development company Skanska on the purchase of the remaining stake of shares in the company business.link sp. o.o. from the Academic Entrepreneurship Incubator (AIP) foundation which runs the largest network of coworking and private rental offices in Poland. Business Link manages 5 coworking spaces located in the Astoria office building in Warsaw and in buildings constructed by Skanska in Poznan (Maraton), Krakow (High5ive), Wroclaw (Green2Day) and Prague (Visionary). Thus far, Skanska owned a 40% interest in Business Link.

HERBERT SMITH FREEHILLS ADVISES KOKUSAI PULP & PAPER ON A$90M TAKEOVER OF ASX-LISTED SPICERS

Herbert Smith Freehills is advising Japan’s Kokusai Pulp & Paper Co., Ltd. (KPP) on its proposed A$90m acquisition of ASX-listed Spicers Limited pursuant to a members’ scheme of arrangement. 

KPP is Japan’s second largest paper distribution company. Spicers is a distribution business offering customers a full suite of products and services, incorporating commercial print, digital media, label & packaging, industrial packaging, sign and display consumables and hardware, and architectural offerings.

Landmark wind power transaction in Norway

Wikborg Rein would like to congratulate Stadtwerke München GmbH (SWM) with its landmark 1,5 GWh wind power transaction in Trøndelag. Wikborg Rein has assisted SWM with its acquisition of 70 % of the shares in Midgard Vind Holding AS, a company owning four existing and four new wind power projects previously owned by TrønderEnergi Kraft AS, NTE Energi AS and Sarepta Energi AS. TrønderEnergi will own 30 % of Midgard Vind Holding AS. We would also like to congratulate TrønderEnergi, NTE and others involved with the transaction.

OpenGate Capital Acquires the Silicon Carbide Division of Saint-Gobain

Paris office advised OpenGate Capital on the acquisition of the silicon carbide division of Saint-Gobain.

On January 9, Willkie client OpenGate Capital announced that it had entered in exclusive negotiations with Saint-Gobain to acquire its silicon carbide division with production sites in Belgium, Norway, Brazil and Venezuela. The contemplated transaction is subject to consultation with Saint-Gobain’s Works Council and satisfactory clearance from relevant competition authorities and is expected to take effect during the first half of the year.

DLA Piper advises US electronics distributor Avnet on acquisition of Softweb Group

DLA Piper has advised global technology solutions provider Avnet, Inc. on its acquisition of privately-held Softweb Solutions, Inc. and Priya Softweb Solutions Pvt. Ltd., a software development and technology consulting company focusing on Artificial Intelligence and IoT software solutions located in the US and India.

Herbert Smith Freehills advises CBA on A$1.6 billion acquisition of PEXA

Herbert Smith Freehills has advised the Commonwealth Bank of Australia (CBA) in relation to its successful consortium bid to acquire 100% of Property Exchange Australia Limited (PEXA). The transaction, which values PEXA at approximately A$1.6 billion, prevailed over PEXA’s anticipated initial public offering (IPO).

CBA is joined in the successful consortium by existing PEXA co-shareholder Link Group and Morgan Stanley Infrastructure Partners (MSI).
