Gide, counsel to CNP Assurances on the acquisition of a majority stake in Géosud

Gide advises CNP Assurances on the acquisition of a majority stake in Géosud from Total, Géostock and INEOS. Total and INEOS will sell to CNP Assurances their entire stake, of respectively 56.07% and 13.93%. Géostock will keep a minority 2% stake.

Set up in 2009 for the study, construction and operation of underground natural gas storage sites, Géosud owns a 50% stake in GIE Géométhane, the operator of a natural gas storage site operator located in Manosque (south-east France).

Kirkland & Ellis Advises Consortium on US$9.3 Billion Acquisition of Qihoo360 Technology Co. Ltd.

Kirkland & Ellis represents a consortium of investors, including, among others, CITIC Guoan, Golden Brick Silk Road Capital, Sequoia Capital China, Taikang Life Insurance, Ping An Insurance, Sunshine Insurance, New China Capital, Huatai Ruilian, Huasheng Capital or their affiliated entities in their acquisition of NYSE-listed Qihoo360 Technology Co. Ltd., a leading Internet company in China, in a transaction valued at US$9.3 billion, including the redemption of approximately US$1.6 billion of debt. The merger agreement was signed on December 18, 2015.

King & Wood Mallesons acts for successful bidder, China’s SPIC, on its acquisition of Pacific Hydro

A cross-border KWM team has acted as PRC and Australian advisers to China’s State Power Investment Corporation (SPIC) on its acquisition of Pacific Hydro, IFM’s renewable energy portfolio.  This is one of the largest ever acquisitions by a Chinese bidder in Australia and signals the ongoing appetite from Chinese investors for Australian assets.

Houston advises Tesoro in acquisition of Great Northern Midstream

The Houston office is representing Tesoro Corporation in the acquisition of Great Northern Midstream LLC, a crude oil logistics provider owning and operating recently constructed crude oil pipeline, gathering system, transportation, storage and rail loading facilities in North Dakota's Williston Basin. The transaction is expected to close in the first quarter of 2016. The transaction value was not disclosed.

Slaughter and May is advising COSCO Pacific Limited on its proposed acquisition of China Shipping Ports Development Co., Limited, which is interested in a portfolio of container terminals in the PRC and other parts of the world, for a consideration of RMB7.63 billion (approximately US$1.18 billion). The proposed acquisition forms part of the multi-billion dollar reorganisation of the businesses of the COSCO group and the businesses of the China Shipping group, being the leading companies in the PRC shipping industry.

DLA Piper advises Domino's Pizza on the acquisition of Joey's Pizza

DLA Piper has advised Australian listed company Domino's Pizza Enterprises Ltd. (Domino's) on the acquisition of Joey's Pizza Group.

Domino's is the largest pizza delivery chain in Australia and the biggest franchisor of the Domino's Pizza brand with more than 1,500 stores and approximately 30,000 employees in Australia, New Zealand, France, Belgium, the Netherlands and Japan.

With the acquisition of Joey's Pizza Group and the resulting entry into the German market, Domino's takes a further important step as part of its European expansion.

Dentons advises Steinhoff International Holdings on purchase of majority stake in Hungary’s Extreme Digital

Budapest -Dentons has advised South African integrated discount retailer Steinhoff International Holdings in its acquisition of a majority stake in Hungarian e-commerce company Extreme Digital.
