Vinge advises Outbox on acquisition of Transticket

Vinge has advised Outbox AXS in connection with the acquisition of Transticket AB. Transticket is a leading Swedish ticketing company with one of the region’s largest sports and entertainment portfolios. Outbox is a global sports and entertainment ticketing company.

Vinge’s team consisted of Magnus Hedsund, Kristian Ford and Fredrik Christiansson. Emelie Svensäter Jerntorp provided employment law advice.

Gleiss Lutz advises Blackstone on the acquisition of the Armacell Group from Charterhouse

US private equity investor The Blackstone Group (Blackstone) has agreed to acquire, together with KIRKBI A/S, insulation materials manufacturer Armacell. According to press reports, the deal values Armacell at EUR 960 million. Blackstone, KIRKBI and Charterhouse announced the execution of a corresponding agreement today. Closing of the transaction is subject to clearance by the relevant antitrust authorities, and is expected to take place in the first quarter of 2016. 

Gide advises Zhangyuan Tungsten on its acquisition of ELBASA and UF1

Gide has advised Chongyi Zhangyuan Tungsten Co., Ltd. (Zhangyuan Tungsten), the only Chinese-listed company in the tungsten industry, on its acquisition of 100% of the equity interests in ELBASA and 80% in UF1. It is the company’s first investment in Europe.

Located in Jiangxi Province, Zhangyuan Tungsten (002378:SZ) makes and sells tungsten products, operating a wide range of businesses in mining, production, processing and trading.

Squire Patton Boggs Acts for Coal of Africa Limited on AU$126.4 Million Takeover of Universal Coal

Squire Patton Boggs is acting for ASX, AIM and JSE listed Coal of Africa Limited ("CoAL") on its AU$126.4 million (£60 million) recommended takeover offer for ASX listed Universal Coal plc ("Universal"), made through a combined scrip and cash consideration, with a loan note alternative. The takeover will also constitute a reverse takeover for CoAL under the AIM rules.

Nordstjernan acquires 100 percent of the shares of PMC from a bank consortium led by Nordea Bank AB (publ). On 23 September 2015, the bank consortium took ownership of PMC from the private equity firm Segulah, which had owned the company since 2005.

Slaughter and May advised Royal Philips NV - full buy-out of Philips UK Pension Fund

Slaughter and May advised Royal Philips NV (Philips) on the de-risking of the Philips UK Pension Fund by way of a circa £2.4 billion transaction with Pension Insurance Corporation PLC (PIC). The transaction, which was announced on 5 November 2015, involved the Trustees of the Philips UK Pension Fund (the Trustees) entering into a bulk annuity policy with PIC that will transfer to PIC responsibility for payment of retirement benefits owed to approximately 26,000 current and former UK employees and their beneficiaries.

Clifford Chance advises Actis on its majority investment in Nigeria's Sigma Pensions

International law firm Clifford Chance has advised Actis on its majority investment in Sigma Pensions, a leading Pension Fund Administration business in Nigeria.

The deal puts Actis in prime position to enter the underpenetrated Nigerian pensions industry. Actis is one of the biggest financial services investors in Africa with over $570m invested in the sector; over $1 billion invested in financial services globally and c. $3 billion invested across African businesses overall.

Ashurst advises Charterhouse on the acquisition of the Cooper group

Ashurst has advised Charterhouse on the acquisition of French pharmaceutical group Cooper, previously owned by the investment fund Carnavelle.

The Ashurst Paris team was led by corporate partners Guy Benda and Nicolas Barberis and finance partner Laurent Mabilat.

Herbert Smith Freehills Paris LLP advised Amethis Africa Finance Ltd., an investment fund dedicated to Africa, on its acquisition of a minority equity investment in HMAO Group (Holding Medical d'Afrique de l'Ouest), a leading group of clinics and laboratories in Cote d’Ivoire. Amethis is supporting a management takeover of the Group, which was previously owned by Saham, a pan-African group operating in the insurance, offshoring, real estate and education sectors as well as health via its subsidiary Meden Healthcare.
