CMS Hasche Sigle advises Hill-Rom on acquisition of TRUMPF Medical

Hill-Rom, USA, has acquired the Medical unit of the TRUMPF Group, Ditzingen, for a purchase price of EUR 185 million. The transaction is awaiting approval from the competition authorities.

A team from CMS Hasche Sigle led by Dr Martin Bell, Dr Heike Wagner (joint lead partners), Till Liebau and Dr Tobias Kilian advised Hill-Rom on all legal aspects of the transaction.

Sidley Austin LLP Advised Chegg, Inc. on Acquisition of InstaEDU for $30 million

Sidley advised Chegg, Inc. on the purchase of InstaEDU, an online tutoring service, for $30 million in cash. The Sidley deal was led by corporate partner Sam Zucker (Palo Alto) and corporate counsel John Fisher (Palo Alto). For this multifaceted deal Sidley lawyers from different practices worked together to complete the transaction. Included on the deal team were Stephen M. Fronk (San Francisco), who managed the IP details, partner Edwin L. Norris (Los Angeles), who oversaw the tax issues and partner Matthew E. Johnson (Chicago), who handled the employee benefits portion of the deal.

Sidley Austin LLP Counsels Celsion Corporation on Acquisition of EGEN, Inc. for up to $44 million

Sidley provided counsel to Celsion Corporation, an oncology drug development company, on its acquisition of EGEN, Inc. for up to $44 million in cash and stock. EGEN is a clinical stage biopharmaceutical company focused on developing therapeutics for cancer and other difficult to treat diseases. The deal team was led by Sidley partner Sam Zucker, who resides in the firm’s Palo Alto office.

DLA Piper represents Measurement Specialties in agreement to acquire Wema System AS for US$114.5 million

DLA Piper represented Measurement Specialties, Inc., a global designer and manufacturer of sensors and sensor-based systems, in its agreement to purchase Wema System AS , a leader in the development, manufacture and supply of fuel and AdBlue/DEF level and quality sensors for on-road and off-road commercial vehicles, for approximately US$114.5 million. The acquisition closed on May 30, 2014.

Norton Rose Fulbright advises Magnum Hunter Resources Corporation on intended takeover offer for Ambassador Oil and Gas Limited

Norton Rose Fulbright’s Sydney office is acting for Magnum Hunter Resources Corporation (Magnum Hunter) on its hostile competitive off-market takeover offer, via a wholly-owned subsidiary, for all of the ordinary shares in Ambassador Oil and Gas Limited (Ambassador). The consideration under the offer is Magnum Hunter stock.

Taylor Wessing has advised Homair Vacances SA and its majority shareholder, French private equity house Montefiore Investment, on the exchange of contracts for the acquisition of Eurocamp Limited from Holidaybreak Limited (a subsidiary of Cox & Kings) for £89.2 million.

Eversheds advises La Banque Postale on two acquisitions

Law firm Eversheds has advised its client La Banque Postale on a significant acquisition.

This deal involved the EUR38 million acquisition of a majority shareholding (66%) in Sofiap (Société Financière pour l'Accession à la Propriété) from both Credit Immobilier de France and the SNCF. Sofiap is providing property loans to French railroad employees (cheminots SNCF).

Wragge Lawrence Graham & Co has advised MxP Partners LLP on its £80m private equity (PE) buyout of Amber Taverns. MxP Partners, an investment firm and a founding shareholder of the business, acquired Amber Taverns, a north west-based operator of 95 community pubs, from Legal & General Capital in a buyout jointly backed by BlueBay Asset Management.
