CMS advises shareholders in assistance systems developer SemVox on sale of shares to paragon

Stuttgart – The shareholders in SemVox GmbH have signed an agreement on the sale of 82% of their shares in the company to paragon GmbH & Co. KGaA. Acquiring SemVox GmbH gives paragon GmbH & Co. KGaA access to efficient solutions for voice control, multimodal human-machine interaction and intelligent assistance systems based on Artificial Intelligence (AI), primarily for use in the automotive sector. Completion of the deal is expected at the start of October.

Clifford Chance Amsterdam acts as transaction counsel on the EUR 1.65 billion post-IPO placement of Adyen shares

Clifford Chance Amsterdam acted as transaction counsel on the sale by certain shareholders of approximately 2.46 million shares in the capital of Euronext listed company Adyen, the Netherlands-based payments platform provider. The sale was carried out through an accelerated bookbuild offering to institutional investors and settled on Monday 17 September 2018.

Advising Moog group on Pieper MBO

International law firm Simmons & Simmons has advised the Moog group on the disposal of Pieper GmbH to the management. No further details have been disclosed.

Moog specialises in the development of high performance electric, hydraulic and hybrid drive solutions for industrial applications.

Pieper GMBH, was a subsidiary of Moog Inc, is an independent supplier of video and security equipment based in Schwerte, Germany. The company develops, designs, manufactures, and installs complete video and security systems for every conceivable application.

CMS advises Augur on sale of Veritas Group to La Française

Düsseldorf – French asset manager Groupe La Française has acquired 100% of the shares in the Veritas Group, which has assets under management of around EUR 8 billion. The acquisition includes financial services institution Veritas Institutional and investment management company Veritas Investment. The parties agreed not to disclose the purchase price. The cross-border transaction is currently awaiting approval from the competent regulators and is also subject to the fulfilment of certain other conditions precedent. Closing is scheduled for 2018.

CMS advises shareholders of software provider Softgarden on sale to Investcorp Technology Partners

Berlin – Technology investor Investcorp Technology Partners has acquired Softgarden, a human resources (HR) software provider. The seller is a group of investors including Cipio Partners, Brandenburg Kapital, Neuhaus and the two company founders, Stefan Schüffler and Dominik Faber. The parties agreed not to disclose the purchase price. The transaction is currently awaiting the usual clearance from the competition authorities.

CMS advises shareholders in 2sales International S.A. on sale to WPP Group

Leipzig – Global digital agency Wunderman, a subsidiary of the London-based WPP Group, has acquired Luxembourg content and campaign agency 2sales International S.A. The acquisition is part of Wunderman’s planned expansion of its e-commerce services. The parties agreed not to disclose the transaction value.

An international CMS team headed by lead partners Dr Jörg Lips and John Hammond advised the shareholders in 2sales International S.A. on all legal aspects of the transaction.
