Slaughter and May is advising RPC Group Plc in connection with the possible takeover offers by Apollo Global Management and Bain Capital

Slaughter and May is advising RPC Group Plc ("RPC"), a leading global plastic products design and engineering company, in connection with the possible takeover offers by each of Apollo Global Management and Bain Capital which were announced this morning.

Apollo and Bain both have until 17:00 on October 8 to make a firm offer for RPC.

Freshfields advises XIO Group on the sale of COMPO EXPERT

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised XIO Group, a London-headquartered private equity firm, on the sale of COMPO EXPERT GmbH, a leading manufacturer of specialty fertilizers for commercial use. The purchaser is the listed Polish agrochemical group Grupa Azoty S.A.

The closing of the transaction is subject to customary regulatory approvals as well as the approval by the extraordinary general meeting of Grupa Azoty. Closing is expected to take place between Q4 2018 and Q1 2019.

Gowling WLG advises on the sale of Roadworks Information Limited

Gowling WLG has acted for the management team of Elgin, the home of roadworks.org, on the sale of Roadworks Information Limited to Bridgepoint Growth I and the subsequent re-investment by certain members of the management team into Elgin.

Roadworks.org is a local and national planning, management and communications hub for roadworks, road closures and traffic disruptions. The investment by Bridgepoint Growth will enable Elgin to accelerate its growth ambitions for roadworks.org and extend and develop its range of services.

Macfarlanes advises Bonhams on its sale to Epiris

Macfarlanes has advised Bonhams, the global auction house, on its sale to Epiris Fund II, advised by London based private equity house Epiris LLP.

Bonhams is one of the world's largest auctioneers of fine art and antiques, motor cars and jewellery. The company, which was founded in 1973, holds over 250 sales a year at its salerooms, which include London, New York, Los Angeles and Hong Kong.

Outsourcing Inc. acquires Allen Lane

The shareholders of Allen Lane have sold 82.5% of the issued shares in its holding company to Outsourcing Inc.

Mishcon de Reya represented the shareholders of Allen Lane on the sale. Nick Davis, Head of Corporate and the Recruitment Services Group led the Mishcon de Reya team comprised of Partner Laura Chandler, Managing Associate Pippa Williamson and Associate Amy Bruce.

TIP Trailer Services is one of the leading companies in its field in markets across Europe including Germany, the UK, Italy, France, Spain and the Benelux countries, as well as in Canada.

Macfarlanes advises management of Cognita on sale to Jacobs Holding

Macfarlanes has advised the senior management team, led by CEO Chris Jansen, of Cognita, the leading global schools group, on its sale by Bregal Investments and KKR to Jacobs Holding, a Zurich-based investment firm.

Cognita operates over 70 schools across eight countries, educating more than 40,000 children. The organisation was established in 2004 by Bregal Investments with the acquisition of a single school in the UK and since then has expanded into Europe, Asia and Latin America. KKR became a shareholder in 2013.

Hill Dickinson advises management on buyout of steel specialist Boole's Tools and Pipe Fittings Ltd

Hill Dickinson's corporate team has acted for the management of a multimillion-pound turnover steel tube supplier, Boole's Tools and Pipe Fittings Ltd, on a successful management buyout by the family which founded the company who have bought it back from a listed builders' merchant.

The team working on the deal from Hill Dickinson was led by corporate partner Ian Riggs and associate Katie Somerville, with assistance from banking partner Alasdair Mackinnon and property partner Darren Hamer.
