Baker McKenzie advised Evergrande Health Industry Group Limited (Evergrande Health), a company listed on the Main Board of the Hong Kong Stock Exchange, on its acquisition of 51% stake in National Electric Vehicle Sweden AB (NEVS) for a total consideration of USD 930 million.

The Sabio Group, a UK-based unified communications and contact centre services company, has announced the acquisition of flexAnswer Solutions, a leading Singapore-based provider of innovative Virtual Assistant solutions. The deal aims to strengthen Sabio’s digital offering and is part of an ongoing growth plan to broaden the company’s solutions portfolio and geographic coverage.

DLA Piper has advised Gabriel A/S on the acquisition of Lithuanian fabric manufacturer

Danish fabric manufacturer Gabriel A/S has signed an agreement on the acquisition of the Lithuanian fabric manufacturer UAB Baltijos Tekstile (BTC).

The two companies have collaborated since 1999, and in 2017 BTC generated revenue of EUR 3.9 million, with Gabriel A/S as one of its major customers.

Gabriel A/S was advised by Kristian Tokkesdal and Mathias Beck.

DLA Piper has advised Croda International Plc on the acquisition of Danish pharmaceutical company

Croda has signed a deal with Brenntag Nordic A/S to acquire 100% of the share capital in Brenntag Biosector A/S for EUR 72 million in cash.

Brenntag Biosector A/S, which is headquartered in Ballerup, Denmark, is a specialist in the manufacture and supply of adjuvants for vaccines. Its product portfolio includes innovative aluminium and saponin-based adjuvants used in both human and veterinary vaccines to enhance their efficacy.

ABC Data S.A. is a leader in the market of IT hardware and consumer electronics distribution in Poland and operates in a number of Central and Eastern Europe countries.

Entry into e-sports: CMS advises 1st FC Cologne on stake in e-sports organisation SK Gaming

Cologne – 1st FC Cologne and Daimler AG have jointly acquired shares in Cologne-based e-sports company SK Gaming, with founder Alexander Müller remaining a shareholder.

A CMS team headed by lead partner Dr Hendrik Schindler advised 1st FC Cologne on concluding the purchase agreement and designing the future corporate governance structure of SK Gaming. The football club is a longstanding CMS client in the area of intellectual property as well as contract and association law. This is the first time the club has instructed CMS to advise on an M&A transaction.
