WFW advises Zurich Municipal Electric Utility, ewz, on the acquisition of shares in the 288 MW offshore wind farm “Butendiek”

Watson, Farley & Williams has advised ewz, Zurich Municipal Electric Utility, (“ewz”) on the acquisition of shares in offshore wind farm “Butendiek” in the German North Sea.

Through its subsidiary ewz (Deutschland) GmbH, ewz acquired a 49 per cent share in wpd Butendiek Beteiligungs GmbH, which owns a 10 per cent share in the wind farm’s project company. The remaining shareholders of the project company are German project developer wpd AG (“wpd”), the private equity fund Marguerite, CDC Infrastructure, Siemens Financial Services and a group of Danish pension funds.

Norton Rose Fulbright advises EN Gas & Oil Trading Italia S.r.l. on a debt restructuring plan and agreement with creditors

Norton Rose Fulbright has advised EN GAS & OIL TRADING ITALY S.r.l. in the preparation of a debt restructuring plan and a “concordato preventivo” (agreement with creditors) under art. 161 of the Italian Bankruptcy Code. The plan and proposed agreement with creditors was presented to the Bankruptcy Section of the Court of Rome, which issued a decree on November 20, 2013 stating that the Company was admitted to the relevant concordato preventivo procedure.

Eesti Energia AS - EUR 100,000,000 tap issue of 4.250% Notes due 2018

Slaughter and May advised Eesti Energia AS on a EUR 100,000,000 tap of its existing EUR 300,000,000 4.250% notes due 2018. The new notes were issued on 30 January 2014 and bring the total principal amount of its 4.250% notes due 2018 to EUR 400,000,000. The net proceeds of the new notes are to be used for Eesti Energia’s general corporate purposes, including financing Eesti Energia’s capital expenditure programme.

Deutsche Bank and Nordea Markets acted as Joint Bookrunners.

China Power New Energy Development Company - acquisition of share capital and shareholder loan of Power Will Investment Limited

Slaughter and May advised China Power New Energy Development Company (CPNE) in relation to its acquisition of the entire issued share capital and a shareholder loan of Power Will Investment Limited (Power Will) for a total consideration of RMB166 million (approximately US$27 million). The acquisition was announced on 28 January 2014 and constitutes a disclosable transaction under the Hong Kong Listing Rules.

This week, the UK Department of Energy & Climate Change (DECC), through its Energy Entrepreneurs Fund, has awarded Guildford-based Naked Energy €1m to support the continued development of its state-of-the-art solar technology.

Clyde & Co successful in overturning a High Court Injunction

At the High Court in London on 14 January 2014, an injunction against Clyde & Co's client CAMOP, which had been obtained ex parte by Euroil the previous week, was overturned by Mr Justice Males.

"In my judgment it is completely unacceptable that the effect of the injunction should have been misrepresented to SNH in this way.  I regard that, in effect, as an abuse of the court’s process, which is itself sufficient to discharge this injunction, although there are other grounds on which I also propose to do so."

Mayer Brown represents Bonanza Creek Energy, Inc. on $200 million high yield note offering

Mayer Brown represented Bonanza Creek Energy, Inc., an independent energy company engaged in the acquisition, exploration, development and production of onshore oil and associated liquids-rich natural gas in the United States, in connection with its SEC-registered offering of $200 million of 6.75% senior notes due 2021.

The deal marks the third securities transaction and second high yield bond transaction by Bonanza Creek Energy on which the firm has advised in 2013, with an aggregate total of $830 million in funds raised.

Baker & McKenzie Advises Yamal Development on Major Gas Acquisition

Moscow, Russia, — Baker & McKenzie advised Yamal Development LLC, a 50/50 joint venture between Novatek and Gazprom Neft, on a USD2,940 million acquisition of a 60 percent equity stake in Artic Russia from Eni. Artic Russia owns a 49 percent interest in SeverEnergia, a Russian oil and gas company operating in the Yamal-Nenets region.

Previously, in December 2013, Baker & McKenzie advised Novatek on a share swap with Rosneft, whereby Novatek’s 51 percent interest in Sibneftegas was swapped for Rosneft’s 40 percent share in Artic Russia.
